Common use of Clearance Certificates Clause in Contracts

Clearance Certificates. Seller shall use its reasonable best efforts to provide Buyer, at the Closing, a clearance certificate or similar document(s) that may be required by any state Tax authority in order to relieve Buyer of any obligation to withhold any portion of the Initial Purchase Price or the Final Purchase Price.

Clearance Certificates. Seller shall use its commercially reasonable best efforts to provide Buyer, at the Closing, Purchaser with a clearance certificate or similar document(s) that document requested by Purchaser, on or before the Closing Date, which may be required by any state Tax State taxing authority in order to relieve Buyer Purchaser of any obligation to withhold any portion of the Initial Purchase Price or the Final Purchase Price.
