A Closing Certificate is a formal document provided at the completion of a transaction, typically by a party’s authorized representative, to confirm that all conditions and obligations required for closing have been satisfied. In practice, this certificate may include confirmations that representations and warranties remain true, that necessary approvals have been obtained, and that no material adverse changes have occurred since signing. Closing Certificate. The Seller shall have received a certificate dated the Closing Date and executed by authorized officers of Buyer to the effect that the conditions contained in Sections 4.2(a), 4.2(b) and 4.2(c) have been fulfilled.
