A Closing Certificate is a formal document provided at the completion of a transaction, typically by a party’s authorized representative, to confirm that all conditions and obligations required for closing have been satisfied. In practice, this certificate may include confirmations that representations and warranties remain true, that necessary approvals have been obtained, and that no material adverse changes have occurred since signing. Closing Certificate. Buyer shall have delivered to Seller a certificate, dated the Closing Date and duly executed by Buyer, certifying that the conditions set forth in Sections 6.3(a) and 6.3(b) have been satisfied.
