Common use of Closing Certificate of Buyer Clause in Contracts

Closing Certificate of Buyer. Seller and Seller's Affiliates shall have received from Buyer a certificate executed by a duly authorized officer of Buyer dated the date of the Closing Date ("Closing Certificate of Buyer"), certifying that all representations and warranties of Buyer set forth in this Agreement are true, complete, and correct in all material respects on and as of the Closing Date as if made at that time and that Buyer has performed and complied in all material respects with all agreements, covenants, and conditions required by this Agreement to be performed or complied with by Buyer on or before the Closing Date.
