Seller shall have received a certificate signed by an officer or manager of the sole member of Buyer, in form and substance reasonably satisfactory to Seller, dated the Closing Date, to the effect that each of the conditions specified above in Sections 5.3(a)-(c) have been satisfied in all respects.
