Common use of Closing Date Certificate Clause in Contracts

Closing Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificate, dated the date hereof, appropriately completed and duly executed and delivered by an Authorized Officer of the Borrower in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correct.

Closing Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificatereceived the Closing Date Certificate, dated the date hereof, appropriately completed Closing Date and duly executed and delivered by an Authorized Officer of the Borrower Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date date, and, at the time each such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements required to be appended to the Closing Date Certificate shall be in form and substance satisfactory to the Administrative Agent.

Closing Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, received a certificate, dated signed by the date hereof, appropriately completed and duly executed and delivered by an Authorized Officer chief financial officer of the Borrower in which certificate Representative and dated the Borrower shall agree Effective Date (i) stating that no Default has occurred and acknowledge is continuing, (ii) stating that the statements made therein representations and warranties contained in Article III are true and correct in all material respects as of such date (provided that each such representation and warranty shall be deemed to be true and correct representations in all respects to the extent that it is already qualified by a materiality standard), and warranties of (iii) certifying any other factual matters as may be reasonably requested by the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correctAdministrative Agent.

All documents and agreements required to be appended to the Closing Date Certificate shall be in form and substance satisfactory to the Administrative Agent.
