Closing Deadline. The Closing Date shall have occurred on or before May 31, 2025. Without limiting the generality of the provisions of Section 13.4, for purposes of determining compliance with the conditions specified in this Section 8.1, each Lender that has signed this Agreement shall be deemed to have consented to, approved or accepted or to be satisfied with each document or other matter required hereunder to be consented to or approved by or acceptable or satisfactory to a Lender unless Global Administrative Agent shall have received notice from such Lender prior to the proposed Closing Date specifying its objection thereto.
Closing Deadline. Buyer and Seller hereby agree that subclause b) of clause i) of Section 2.4.1 of the Purchase Agreement is hereby amended to delete the words “ninety (90) days after the Approval Date” and replace them with “sixty (60) days after the Approval Date”.
