Cloud Service Provider. As part of the subscription services under this Agreement, Thycotic will make the Software Cloud Product(s) available to Licensee through cloud server services hosted by Microsoft Azure or Amazon Web Services, Inc. (in each case, the “Cloud Service Provider”). Microsoft Azure hosts the Secret Server Cloud, Privilege Manager Cloud, and Account Lifecycle Manager Products. Amazon Web Services, Inc. hosts the Privileged Behavior Analytics Cloud Product and DevOps Secrets Vault. Licensee acknowledges that (i) the Product(s) and Licensee’s files related to the Product will be stored on servers (the “Cloud Servers”) exclusively (except for limited access rights specifically granted to Thycotic as contractor for Cloud Services) under the physical control of, and maintained by, the Cloud Service Provider; and (ii) the Cloud Server environment provided by the Cloud Service Provider in which Software Cloud Products operate is a multi-tenant environment for Secret Server Cloud, Account Lifecycle Manager and DevOps Secrets Vault. A dedicated instance is provided for each licensee for Privilege Manager and Privileged Behavior Analytics (although Privileged Behavior Analytics does leverage some shared resources across tenants).
Cloud Service Provider. The goal of HEROES is to be CSP agnostic. The solution will allow to deploy resources and submit jobs to any CSP. The Cloud offers greater flexibility than HPC Centres in terms of types and access to resources. Though HEROES could deploy specific and independent lightweight resources in the CSPs, we plan on deploying full-fledged clusters for consistency with HPC Centres. The initial model is that HEROES will own the account required to access the CSP and deploy resources, but future evolutions will allow the incorporation of private CSP accounts within Organizations. We will initially concentrate on two CSP during the project: AWS (Amazon Web Services) [1] and OCI (Oracle Cloud Infrastructure) [2].

  • The Service Provider upon receipt of a notice contemplated under clause 19.1 shall discontinue the supply of all services or goods under this Agreement, to the extent specified, and on the date specified in the notice.

  • Service Provider A public or private vendor that is funded in whole or in part using grant funds and obligated under the terms of a procurement contract with the Grantee to provide goods and/or services for the operation, management, or administration of juvenile probation services and juvenile justice programs.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (▇▇▇) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Third Party Service Providers Unless otherwise prohibited by Apple in the Documentation or this Agreement, You are permitted to employ or retain a third party (“Service Provider”) to assist You in using the Apple Software and Services provided pursuant to this Agreement, including, but not limited to, engaging any such Service Provider to maintain and administer Your Applications’ servers on Your behalf, provided that any such Service Provider’s use of the Apple Software and Services or any materials associated therewith is done solely on Your behalf and only in accordance with these terms. Notwithstanding the foregoing, You may not use a Service Provider to submit an Application to the App Store or use TestFlight on Your behalf. You agree to have a binding written agreement with Your Service Provider with terms at least as restrictive and protective of Apple as those set forth herein. Any actions undertaken by any such Service Provider in relation to Your Applications or use of the Apple Software or Apple Services and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions). In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.

  • Stock Plan Administration Service Provider The Company transfers the Optionee's Personal Information to Fidelity Stock Plan Services LLC, an independent service provider based in the United States, which assists the Company with the implementation, administration and management of the Plan (the “Stock Plan Administrator”). In the future, the Company may select a different Stock Plan Administrator and share the Optionee's Personal Information with another company that serves in a similar manner. The Stock Plan Administrator will open an account for the Optionee to receive and trade Shares acquired under the Plan. The Optionee will be asked to agree on separate terms and data processing practices with the Stock Plan Administrator, which is a condition to the Optionee’s ability to participate in the Plan.
