CoC and HRCS i. As Collaborative Applicant, HRCS shall: 1. Serve as the collaborative applicant to jointly submit a single application for HHAP funds on behalf of the County and the CoC and receive grant funds directly from the administering state agency. 2. Develop a collaborative process for the development of joint HHAP applications and ensure compliance with grant criteria. ii. As Lead Agency, the CoC and HRCS shall: 1. Build strategic partnerships and cultivate new service partnerships within the community. 2. Lead completion of the annual joint Homeless Action Plan update with local and county governments and stakeholders as required by HHAP grant applications. 3. Lead continuous quality improvement meetings within the CoC to review performance metrics towards Joint Homeless Action Plan goals and metrics. 4. Lead annual meetings as a function of the CoC with the County and contractors to discuss contracts and projects and their relevance to the Joint Homeless Action Plan. 5. Review and adhere to state guidance related to data reporting requirements and processes published by the administering state agency for HHAP funds, including: o HHAP Annual report guide o HHAP Annual report checklist o HHAP NOFAs o Health and Safety Code Section 50222, subdivision (a) o Coding HCFC Grants as funding Sources in HMIS 6. Enter into formal contracts with providers for projects that are in alignment with the joint Homeless Action Plan goals and HHAP metrics and are approved for funding through CoC led activities; and conduct all contract administration with CoC funded providers. 7. Work with providers to establish data collection and reporting measures as required by HHAP. 8. Measure and monitor performance of HRCS funded projects as related to the joint Homeless Action Plan goals and performance metrics. This includes developing strategic goals to end homelessness, collecting and disseminating data to measure performance toward those goals, and continuously evaluating and improving performance. 9. Use 75% of the total annual HHAP allocation, for this year and the following years, to fund the following programs or such programs as determined by the CoC.   • COBRA and HIPAA Effective as of January 1, 2008, the SpinCo Welfare Plans assumed responsibility for compliance with the health care continuation coverage requirements of COBRA with respect to SpinCo Participants who, as of December 31, 2007, were covered under a RemainCo Welfare Plan pursuant to COBRA or who had a COBRA qualifying event (as defined in Code Section 4980B) prior to December 31, 2007. The Parties hereto agree that neither the Distribution nor any transfers of employment that occur as of the Distribution Date or otherwise in connection with the Distribution shall constitute a COBRA qualifying event for purposes of COBRA; provided, that, in all events, (i) SpinCo (acting directly or through a member of the SpinCo Group) shall assume, or shall have caused the SpinCo Welfare Plans to assume, responsibility for compliance with the health care continuation coverage requirements of COBRA with respect to the Transferred SpinCo Participants to the extent each such individual was, as of the day prior to his or her transfer of employment, covered under a RemainCo Welfare Plan pursuant to COBRA or who had a COBRA qualifying event (as defined in Code Section 4980B) prior to his or her transfer of employment, and (ii) RemainCo (acting directly or through a member of the RemainCo Group) shall assume, or shall have caused the RemainCo Welfare Plans to assume, responsibility for compliance with the health care continuation coverage requirements of COBRA with respect to the Transferred RemainCo Participants to the extent each such individual was, as of the day prior to his or her transfer of employment, covered under a SpinCo Welfare Plan pursuant to COBRA or who had a COBRA qualifying event (as defined in Code Section 4980B) prior to his or her transfer of employment. RemainCo (acting directly or through a member of the RemainCo Group) shall be responsible for administering compliance with any certificate of creditable coverage requirements of HIPAA or Medicare applicable to the RemainCo Welfare Plans with respect to SpinCo Participants.

  • Anti-slavery and human trafficking The Supplier shall: ensure that slavery and human trafficking is not taking place in any part of its business or in any part of its supply chain; implement due diligence procedures for its own suppliers, subcontractors and other participants in its supply chains, to ensure that there is no slavery or human trafficking in its supply chains; respond promptly to all slavery and human trafficking due diligence questionnaires issued to it by the British Council from time to time and ensure that its responses to all such questionnaires are complete and accurate; and notify the British Council as soon as it becomes aware of any actual or suspected slavery or human trafficking in any part of its business or in a supply chain which has a connection with this Agreement. If the Supplier fails to comply with any of its obligations under clause 13.1, without prejudice to any other rights or remedies which the British Council may have, the British Council shall be entitled to: terminate this Agreement without liability to the Supplier immediately on giving notice to the Supplier; and/or reduce, withhold or claim a repayment (in full or in part) of the charges payable under this Agreement; and/or share with third parties information about such non-compliance.

  • Health and hygiene The Hirer shall, if preparing, serving or selling food, observe all relevant food health and hygiene legislation and regulations. In particular dairy products, vegetables and meat on the premises must be refrigerated and stored in compliance with the Food Temperature Regulations. The premises are provided with a refrigerator and thermometer.

  • Meetings and Hearings All meetings and hearings under this procedure shall not be conducted in public and shall include only such parties in interest and their designated or selected representatives, heretofore referred to in this Article.
