Commencement Date and Substantial Completion Clause Samples

The 'Commencement Date and Substantial Completion' clause defines when a project officially begins and establishes the criteria or date by which substantial completion is achieved. Typically, it specifies the exact start date for the contractor’s work and outlines what constitutes substantial completion, such as when the project is sufficiently finished for its intended use, even if minor work remains. This clause is essential for setting clear timelines, coordinating project milestones, and determining when responsibilities shift, thereby reducing disputes over project delays and completion status.
Commencement Date and Substantial Completion. § 9.1 Subcontract Time is the period of time, including authorized adjustments, allotted in the Subcontract Documents for Substantial Completion of the Work described in the Subcontract Documents. Contractor will establish each Project’s commencement date in the Notice to Proceed. § 9.2 The Work of this Subcontract shall be substantially completed not later than the date established in the Notice to Proceed, subject to adjustments of this Subcontract Time as provided in the Subcontract Documents. Subcontractor is not responsible for an Owner’s or Contractor’s delays, if any. § 9.3 With respect to the obligations of both Contractor and Subcontractor, time is of the essence of this Subcontract. § 9.4 No extension of time is enforceable without Contractor’s written consent.
Commencement Date and Substantial Completion. The commencement date shall be the date this Contract is fully executed by both parties (hereinafter, the “Commencement Date”). The Contractor shall perform everything agreed to it to be performed properly and promptly in accordance with the terms of this contract and to the satisfaction of the heads of the Purchasing and Departments of the City, or their duly-authorized representatives; shall observe and comply with all existing and future state and federal laws and City rules, ordinances and regulations in any manner effecting those engaged or employed in the performance of this Contract. The Contractor shall achieve substantial completion of the entire Work no later than 80 days from the Commencement Date, subject to adjustments of this Contract Time as provided in the Contract Documents. For the purposes of this Article, “substantial completion” shall mean either that the Work required by this Contract has been completed except for Work having a contract price of less than one percent (1%) of the then adjusted total Contract Price, or substantially all of the Work has been completed and open to public use except for minor incomplete or unsatisfactory work items that do not materially impair the usefulness of the Work required by this Contract.
