Commercial Operations Date. The Commercial Operation (COD) shall mean the actual commissioning date of respective Unit(s) of the Power Project where upon the Seller starts injecting power from the Power Project to the Delivery Point;

[In case Concessionaire has selected Digha I&D Option 2 in their Financial Proposal, in addition to above the Concessionaire having completed, tested and commissioned the Digha SPS A of the Digha Sewerage Network Facilities, along with the associated trunk sewer, rising mains as described in Annexure 12 of the RFP.] (iv) the Concessionaire having achieved and certified by the Project Engineer, that at least 60% of the length of the network has been laid completely, in each of the Digha Sewerage Network Facilities and the Kankarbagh Sewerage Network Facilities (b) If BUIDCO fails to issue the COD Certificate to the Concessionaire within 7 days from the date of satisfaction of the conditions set out in Clause 7.15 (a) above and fails to notify the Concessionaire of any reasons for the failure to issue the COD Certificate, then, the COD Certificate shall be deemed to have been issued to the Concessionaire upon the expiry of the 7 day period. (c) The date on which the COD Certificate is issued or deemed to have been issued to the Concessionaire shall be the Commercial Operations Date of the STP Facilities.

Commercial Operations Date. (a) Within 7 Business Days from the date of issuance or deemed issuance of the Trial Operations Completion Certificate for the Mirzapur Facilities, the Jal ▇▇▇▇▇ shall issue the COD Certificate for the Mirzapur Facilities, with a copy to NMCG, subject to the following conditions having been fulfilled by the Concessionaire: (i) the Concessionaire having received the Mirzapur Construction Completion Certificate; (ii) the Concessionaire having submitted to the Jal ▇▇▇▇▇ the Scheduled Maintenance Programme for the Mirzapur Facilities for the first year post the Mirzapur Facilities COD; (iii) the O&M Manual having been approved by the Jal ▇▇▇▇▇; (iv) the Concessionaire having submitted the Mirzapur O&M Security to the Jal ▇▇▇▇▇; and (v) the Concessionaire having paid any Interim Availability Liquidated Damages, if applicable. (b) If the Jal ▇▇▇▇▇ fails to issue the COD Certificate for the Mirzapur Facilities to the Concessionaire within 7 Business Days from the date of satisfaction of the conditions set out in Clause 7.15(a) above, and fails to notify the Concessionaire of any reasons for the failure to issue the COD Certificate, then, the relevant COD Certificate shall be deemed to have been issued to the Concessionaire upon the expiry of the 7 Business Day period. (c) The date on which the COD Certificate is issued or deemed to have been issued to the Concessionaire for the Mirzapur Facilities shall be the Mirzapur Facilities Commercial Operations Date (Mirzapur COD).

Commercial Operations Date. The earlier to occur of (i) the date on which CSE’s Project becomes commercially operable or (ii) the date on which CSE provides written notification of commercial operation to the CAISO as required under the California ISO Generator Interconnection Manual.

(c) The date on which the COD Certificate is issued or deemed to have been issued to the Concessionaire shall be the Commercial Operations Date of the Facilities.

The Escrow Agent shall release to the County the Building Permit Payment and the Construction Payment. b. Firefly will transfer by wire to the County the amount of One Million One Hundred and Twenty-Five Thousand Dollars ($1,125,000).
