Commission Statements. Broker-Dealer will be provided with copies of its Representatives' commission statements together with Broker-Dealer's own commission statement for each commission payment period in which commissions are payable. Broker-Dealer agrees that, except as to clerical errors and material undisclosed facts, if any, such statements constitutes a complete and accurate statement of the commission account unless written notice is provided to Insurer within 120 days after the date of the statement, which notice specifically sets forth the objections or exceptions thereto.
Commission Statements. By the end of next month after the close of each calendar month during the term of this Agreement, GCT will furnish DISTRIBUTOR with a statement reflecting the status of DISTRIBUTOR’s Commission account. The statement will include an accounting of the orders for which payment is made, including the Customer’s name and invoice number, the rate of Commission on each order, and information relating to any chargebacks included in the accounting. If DISTRIBUTOR has objections with respect to any such statement whether regarding its accuracy, completeness or any other matter, DISTRIBUTOR shall make such objection(s) known to GCT in writing within thirty (30) days after the date of the statement. ANY AND ALL OBJECTIONS FOR WHICH WRITTEN NOTICE IS NOT RECEIVED BY GCT WITHIN THE THIRTY (30) DAY PERIOD SHALL BE DEEMED WAIVED AND ABANDONED BY REPRESENTATIVE.

MGA shall issue commission statements to the AGENCY or AGENT by the 15th of each calendar month detailing the AGENCY's or AGENT's policy and commission activity for each line of CARRIERS BUSINESS for all policies issued during the previous calendar month where commissions are payable. The statements shall include identification of the policies issued or renewed, commissions earned, and the amount due the AGENCY or AGENT (or amounts due MGA or otherwise withheld by MGA). AGENCY's or AGENT’s failure to pay any amount due MGA pursuant to such commission statements may result in immediate termination of this AGREEMENT by MGA. MGA will also have the right to offset any such amounts owed by AGENCY or AGENT against future amounts owed by MGA.

If the question or discrepancy is not resolved to Your satisfaction, You have six (6) months from the date of the commission statement to object and request a formal review by the Company, otherwise the information on the commission statement will be deemed accepted.
