Commissions and Payment. 10.1 Merchants will use the Intranet to set out how much commission is paid for each validated Transaction. Merchants are free to decide how much commission they will pay for each validated Transaction. 10.2 If you are due to be paid commissions, we will issue you with a statement setting out all of the commissions you have earned. Each statement covers a period of 2 weeks, and will be issued 2 weeks after the end of the period it covers. This means, for example, that a statement covering the first half of a month will be issued to you at the end of that month. The statements we provide are definitive when it comes to determining what commissions have been earned. 10.3 We will try to pay any commissions to you within 30 days of our receipt of any payments owed to us in respect of those commissions by the relevant Merchant. We may pay commissions earlier, but whether or not we do so is entirely up to us (even if we have previously paid commissions early in respect of a particular Merchant). 10.4 Commissions will be paid to you in the currency in which the respective Transaction was tracked. 10.5 If you earn commissions from a Merchant, and that ▇▇▇▇▇▇▇▇ does not pay us what it owes us in relation to those commissions, we don‟t have to pay those commissions to you until we are paid by the Merchant. 10.6 We will not make any payments which are less than a certain amount (called the “Minimum Threshold”). If you have total commissions which are less than the Minimum Threshold, they will be held to your account. When the total amount of commissions held to your account reaches the Minimum Threshold, those commissions will become payable. The amount of the Minimum Threshold may change from time to time, and more information can be found on the Intranet. 10.7 If we suspect you have generated commissions in breach of this Agreement you will, by way of future assignment, assign to us all of your rights and ownership in those commissions. This includes any commissions you have already been paid, which you will repay to us when we ask. 10.8 If we can‟t get in contact with you using the contact details set out in your application, and: (a) we cannot pay you commissions because you have provided incomplete or incorrect payment information; or (b) you don‟t log on to our website for 12 months; you waive your right to be paid those commissions and you assign (way of future assignment) all of your rights and ownership in any commissions which we are holding to your account. 10.9 If we are late paying you commissions, you cannot terminate this Agreement on the basis that the delay constitutes a breach of this Agreement. 10.10 You will not receive any interest on commissions held to your account.

Commissions and Payment. 10.1 Merchants will use Commission for Affiliates becomes due where a customer signs up for DashThis products and services using your unique Affiliate link on a bona fide, arm’s length basis and does not cancel without liability in accordance with DashThis Terms of Use (“Commission”). The percentage of the Intranet Commission and our other rewards is as notified to set out how much commission is paid you by DashThis from time to time in writing. Affiliate commissions are approved if they are considered valid in the month after the sale. Payouts for each validated Transactionmonth's commission are processed on the 15th day of the following month. Merchants are free to decide how much commission they will pay for each validated Transaction.
10.2 If you are due to be paid commissionsthe 15th day falls on a weekend or a public holiday, we will issue you process the payment on the next business day, as long as there are no issues with a statement setting out all any of the commissions you customers that the Affiliate has referred. If there is any issue, we have earned. Each statement covers a period of 2 weeksthe right to withhold the payment, run an investigation, and release the payment once we are satisfied with the investigation. We reserve the right to have a manual review of a commission generated for products not bought on the website, prior to pay out. This may delay the payout date by a reasonable length of time. In those cases, we assess the active involvement of the Affiliate in working with the client to keep the subscription active. If we determine in our sole discretion that the Affiliate is not actively working with the customer to keep the subscription to DashThis products and services, the Commission payments may be terminated by us without liability under this Agreement. In case of a refund, the Commission will not be payable, and if already paid, it will be issued 2 weeks after adjusted from the end of next payout. If there is no next payout within the period it coversnext 30 days, then the Affiliate will be liable to pay back the Commission immediately. This means, for example, that a statement covering the first half Failure to make payment of a month Commission paid out in error will entitle us to terminate this Agreement and claim for damages. DashThis also reserves the right to charge interest on owed payments to the maximum amount allowable by applicable law and engage debt collection agencies to retrieve such monies, the cost of which will be issued to you at the end of that month. Affiliate Commission payouts are paid for as long as the referral is a DashThis customer, this rule is valid for all products purchased through the DashThis website. We reserve the right to remove abandoned Affiliate accounts from our system and terminate this Agreement with immediate effect if your balance is equal to or less than the minimum payout threshold, after a 6 month period of inactivity. In this case any accumulated Commissions below the minimum payout threshold will be forfeited. Abandoned Affiliate accounts are defined as any Affiliate account whose Affiliate dashboard has not pay us what it owes been logged into for a period of 6 months and/or has no transactions posted during a period of six months. Where you refer a customer who is a prior client of DashThis, the payout of Commission will be subject to manual review and approval by us in relation our sole discretion. Coupon / Rebate site(s) are subject to those commissionsmanual approval and, we don‟t have to pay those commissions if accepted, earn a Commission at a % rate communicated to you until we by us from time to time via our marketing. We reserve the right to withhold payments to any suspicious Affiliate, request KYC details and/or run through due diligence to ensure the Affiliate’s traffic & methods are paid safe for the DashThis brand. For the avoidance of doubt, Self-referrals will not count as a qualified “referral” and therefore will not be eligible for Commission. Any kind of tax payable by the Merchant.
10.6 We Affiliate on Commission is the responsibility of the Affiliate and we will not make gross up any payments which are less than a certain amount (called the “Minimum Threshold”)Commission in any circumstances. We reserve the Minimum Threshold, they will be held right to your account. When the total amount of commissions held to your account reaches the Minimum Threshold, those commissions will become payable. The amount of the Minimum Threshold may change from time to time, and more information can be found on the Intranet.
10.7 If we suspect you have generated commissions in breach of this Agreement you will, by way of future assignment, assign set-off any amounts owing to us all of your rights and ownership against Commission payments in those commissionscases where Commission payments have either been made erroneously or due to a misrepresentation by you. This includes any commissions you have already been paid, which you will repay to us when we ask.
10.8 If we can‟t get in contact with you using We reserve the contact details set out in your application, and:
(a) we cannot pay you commissions because you have provided incomplete or incorrect payment information; or
(b) you don‟t log on to our website for 12 months; you waive your right to be paid those commissions and you assign (way of future assignment) counterclaim in all of your rights and ownership in any commissions which we are holding to your accountsuch circumstances.
10.9 If we are late paying you commissions, you cannot terminate this Agreement on the basis that the delay constitutes a breach of this Agreement.
10.10 You will not receive any interest on commissions held to your account.
