Commitment to Supply. AMICUS retains WUXI BIOLOGICS on a non-exclusive basis to supply API and/or Product according to its Rolling Forecasts and WUXI BIOLOGICS shall use Commercially Reasonable Efforts to supply said API and Product solely to AMICUS.

Commitment to Supply. Upon the terms and subject to the conditions of this Agreement, (a) Innocoll shall supply EUSA or its permitted designees with its or their total requirements of the Product in finished packaged form for the commercial supply of the Product in the Territory pursuant to Purchase Orders delivered from time to time by EUSA to Innocoll in accordance with Section 4.3 and (b) subject to the provisions of Article 7 below, EUSA and its permitted designees shall purchase exclusively from Innocoll its or their total requirements of the Product to be sold in the Territory.

Commitment to Supply. 5.1. Within 90 days of the Bridge Solution meeting the product profile, development needs and aesthetics of products that such ingredients were intended for, COLORESCIENCE shall begin to purchase the Bridge Solution. Substantially all of COLORESCIENCE’s requirements for TiO2 shall be supplied by SOLÉSENCE, as a replacement for [*]. COLORESCIENCE shall provide SOLÉSENCE a forecast of COLORESCIENCE’s requirements on a quarterly basis. 5.2. Within 90 days of the Bridge Solution meeting the product profile, development needs and aesthetics of products that such ingredients were intended for, COLORESCIENCE shall begin to purchase the Bridge Solution. It is the intention of both parties, that a substantial portion, if not all, of Client’s requirements for TiO2and Zinc Oxide shall be supplied by SOLÉSENCE, either as a replacement of the Bridge Solution, as the Innovation Active Solution or through the supply of the Finished Product. COLORESCIENCE shall provide SOLÉSENCE a forecast of COLORESCIENCE’s requirements on a quarterly basis. It is understood that the Innovation Active Solution is intended to be a critical component of Client’s most important franchise product. SOLÉSENCE shallenable supply, establish and maintain an inventory equivalent to at least two months inventory based upon COLORESCIENCE forecast. SOLÉSENCE will within 120 days of the commercialization of the Innovation Active, qualify a third party manufacturer (Qualified Manufacturer) to produce the Innovation Active consistent with the specifications in Exhibit A. Should SOLÉSENCE be unable for a period of 60 days be unable to supply the Innovation Active for any reason whatsoever, SOLÉSENCE shall compell the Qualified Manufacturer to produce the Innovation Active. Commitment to Supply. Supplier shall operate the Plant and use its commercially reasonable efforts to meet the purchase orders of both Purchaser and [AMTC] [SGL] for the Products. Notwithstanding the foregoing, in no event shall Supplier be obligated to make any additional investment of capital in order to satisfy its obligations under this Section 5.

Commitment to Supply. Upon the terms and subject to the conditions of this Agreement and pursuant to Purchase Orders delivered from time to time by Adolor to Supplier in accordance with Section 5.2, Supplier shall manufacture, test, package, store, label, release and deliver and supply to Adolor or its designee the API Compound in accordance with the Specifications, cGMPs, the Master Batch Record and all applicable Laws and the provisions of the Quality Agreement. Supplier agrees that it shall not enter into any agreement with another Person that shall preclude it from meeting its obligations under this Agreement.

Commitment to Supply. Upon the terms and subject to the conditions of this Agreement and pursuant to Purchase Orders delivered from time to time by Client to CRL in accordance with Section 5.2, CRL shall manufacture, test, package in bulk, store, release and deliver and supply to Client or its designee the Drug Product in accordance with the Specifications, cGMPs, the Master Batch Record, the Quality Agreement and all applicable Laws. CRL acknowledges that time is of the essence in accordance with the terms of this Agreement.

Commitment to Supply. Supplier shall use its commercially reasonable efforts to meet the purchase orders of Purchaser for the Products up to the amounts referenced in Section 2. Notwithstanding the foregoing, in no event shall Supplier be obligated to make any additional investment of capital in the Plant or otherwise to satisfy its obligations under this Section 5 beyond (i) the anticipated conversion of Line 1 to handle [*] precursor and (ii) ordinary repair and maintenance.
