MANAGEMENT may rehearse all PRINCIPALS, during performance weeks, under the following conditions: (1) MANAGEMENT may rehearse all PRINCIPALS not more than six (6) hours per week without any additional compensation during each performance week. MANAGEMENT may use four (4) additional hours of rehearsal time for any ARTIST whose performances do not exceed four (4) and eight (8) hours of rehearsal for any ARTIST whose performances do not exceed two (2) as part of their ARTIST’S weekly compensation. For ARTIST performing Leading Roles, MANAGEMENT may have four (4) additional hours of rehearsals should the number of performances of Leading Roles not exceed two (2) and eight (8) additional hours of rehearsal should the number of performances of Leading roles not exceed one (1) as part of the ARTIST’S weekly compensation. No rehearsals shall be scheduled within two (2) hours of any performance, except in emergency cases, on the day in which PRINCIPAL is required to perform. (2) For all rehearsals scheduled over the hours permitted in (1) above, the ARTIST shall be compensated not less than the Hourly Rehearsal Rate as set forth in the chart below.   • Compensation for Consulting Services For each quarter (i.e., three-month period) that Executive provides consulting services to MediciNova pursuant to the option of MediciNova contained in Section 9 above, MediciNova shall pay Executive a sum equal to fifteen percent (15%) of Executive’s annual Base Compensation which shall be applicable at the time of Executive’s termination of employment with MediciNova (prorated for any period of less than a quarter). The parties expressly agree that when Executive is performing consulting services for MediciNova, Executive is acting as an independent contractor. Therefore, Executive shall be solely liable for Social Security and income taxes that result from Executive’s compensation as a consultant. In addition, Executive shall not be entitled to any other benefits including, without limitation, such group medical, life and disability insurance and other benefits as may be provided to employees and/or executives of MediciNova.

  • Restricted Employment for Certain State Personnel Contractor acknowledges that, pursuant to Section 572.069 of the Texas Government Code, a former state officer or employee of a state agency who during the period of state service or employment participated on behalf of a state agency in a procurement or contract negotiation involving Contractor may not accept employment from Contractor before the second anniversary of the date the Contract is signed or the procurement is terminated or withdrawn.
