Composition of the. Faculty Council shall be as follows: In addition to the designated BTU ▇▇▇▇▇▇▇, one-half (1/2) of the Council shall be composed of members of the bargaining unit designated by the union and one-half (1/2) of the Council shall be composed of members of the faculty elected by the faculty. Faculty Councils shall be established within thirty (30) days of the effective date of this contract. The number of members shall be as follows: 1. Elem. Schools, Exceptional & Alternative Educ. Ctrs. = 5 2. Middle Schools = 7 3. High Schools and Technical Colleges = 11 The composition of the Council may differ from the one listed above by mutual agreement between the principal and a majority of bargaining unit members at each school. Schools that choose a different method for selection and composition of the Council shall report their method to the Board's Department for Employee & Labor Relations, who shall in turn notify the BTU.
Composition of the. CLASSIFICATION REVIEW COMMITTEE The Classification Review Committee is composed of: 1) Two representatives from CSEA, appointed by the Chapter membership. 2) Three representatives from the District at large (classified and/or certificated) appointed by the Superintendent/President. 3) The Executive Director of Human Resources shall serve as the chair and non- voting member of the committee. 4) A Human Resource representative shall serve as a resource and non-voting member of the committee. Any member with a “direct” conflict shall excuse him/herself from the discussion and voting of the request. The meaning of “direct” is interpreted as follows: (A) Any committee member who occupies the same classification of the employee(s) being reviewed. (B) Any committee member who has the responsibility of immediate supervision of the employee(s) scheduled for review. (C) Any committee member who is the second level of the supervision of the position in review and who has noted disagreements with either the employee(s) or immediate supervisor. (D) Any committee member whose request is being reviewed by the committee. If any committee member is required to excuse him/herself as provided herein, the District and/or CSEA may provide a substitute.

Composition of the. SUPERVISORY BOARD Composition of the Supervisory Board and committees 4.1 Immediately prior to the First Trading Day, the Supervisory Board shall consist of 8 Supervisory Board Members as set out in the table below, which also sets out whether those members are independent or dependent pursuant to the Dutch Corporate Governance Code, their membership of the Supervisory Board's committees and their respective terms. (1) Term until (1) AC - Audit Committee; RNC – Remuneration and Nominating Committee; RPCC – Risk Policy and Compliance Committee; RPTC – Related Party Transaction Committee. 4.2 It is envisaged that the Supervisory Board will be reduced to 7 members within 12 months of the First Trading Day, and thereafter the Supervisory Board shall consist of a maximum of 7 members. 4.3 Upon expiry of their respective terms, individual members of the Supervisory Board are eligible for re-appointment, subject to applicable laws, the provisions of the Articles of Association and of the Supervisory Board regulations. The Supervisory Board will at all times be composed in conformity with the profile for the Supervisory Board as set out in the Supervisory Board regulations in place as at the First Trading Date. 4.4 The Parties acknowledge and agree that (i) at least a majority of the Supervisory Board Members shall qualify as Independent Supervisory Board Members within the meaning of the Dutch Corporate Governance Code and (ii) the chairman of the Supervisory Board and its committees shall be a member who qualifies as an Independent Supervisory Board Member.

  • Composition of the Board At and following the Closing, each of the Partners and the Sponsor, severally and not jointly, agrees to take, for so long as such Party holds of record or beneficially owns any Registrable Securities, all Necessary Action to cause the Board to be comprised of eleven (11) directors nominated in accordance with this Article II, initially consisting of (i) seven (7) of whom have been nominated by the Partners, and thereafter designated pursuant to Section 2.1(b) or Section 2.1(d) of this Investor Rights Agreement (each, a “Partner Director”), at least four (4) of whom shall satisfy all applicable independence requirements (including at least two (2) of whom shall be sufficiently independent to serve on the audit and compensation committees of the Board), (ii) three (3) of whom have been nominated by the Sponsor, and thereafter designated pursuant to Section 2.1(c) or Section 2.1(d) of this Investor Rights Agreement (each, a “Sponsor Director”), at least one (1) of whom shall satisfy all applicable independence requirements (including being sufficiently independent to serve on the audit committee of the Board as a chair and the compensation committee as a member), and (iii) one (1) of whom has been jointly nominated by the mutual agreement of Sponsor and the Partners (the “Joint Director”), which Joint Director shall satisfy all applicable independence requirements. At and following the Closing, each of the Sponsor and the Partners, severally and not jointly, agrees to take, for so long as such Party holds of record or beneficially owns any Registrable Securities, all Necessary Action to cause the foregoing directors to be divided into three (3) classes of directors, with each class serving for staggered three (3) year terms. The initial term of the Class I directors shall expire immediately following PubCo’s 2022 annual meeting of stockholders at which directors are elected. The initial term of the Class II directors shall expire immediately following PubCo’s 2023 annual meeting of stockholders at which directors are elected. The initial term of the Class III directors shall expire immediately following PubCo’s 2024 annual meeting at which directors are elected.
