Computerized Maintenance Management System. The Company shall maintain, upgrade, repair and replace, as appropriate throughout the Term, a computerized maintenance management system (“CMMS”) capable of providing a record of repair and replacement of the Transfer Station and Drop-Box Sites on a detailed, item-by-item basis; scheduling, carrying out, monitoring and controlling predictive, preventive and corrective maintenance programs; monitoring routine operations within the Transfer Station and Drop-Box Sites; issuing work orders and purchase orders; maintaining a spare parts inventory; and issuing exception, equipment status and repair priority reports. The CMMS shall constitute part of the Transfer Station and Drop-Box Sites, and shall be modified as and when appropriate during the Term to take account of removals from and additions to the Transfer Station and Drop-Box Sites. The Company shall utilize the CMMS to provide the County with documentation which allows it to efficiently monitor compliance by the Company with its maintenance obligations hereunder and to substantiate the need for major corrective maintenance of any Specified Fixed Equipment and Structures for which the County is responsible pursuant to subsection 12.1(C). The County shall have computer-based real time, read-only access to such system. The Company shall permit all electronic data to be replicated and provided to the County. Upon the expiration or termination of this Contract, the Company shall provide the County with all computer records generated by the CMMS and shall provide the County (and any successor operator of the Transfer Station and Drop-Box Sites, but, with respect to any successor operator, only in connection with the operation of the Transfer Station and Drop-Box Sites) all rights to continue to use of the CMMS, on a cost free and perpetual basis.
