Conditioning Clause Samples

The Conditioning clause establishes that certain obligations or rights under an agreement are dependent on the occurrence of specified events or the fulfillment of particular requirements. In practice, this means that a party may not be required to perform its duties, such as making a payment or delivering goods, until certain conditions are met, like obtaining regulatory approval or receiving necessary documentation. This clause ensures that parties are only bound to perform when agreed-upon prerequisites are satisfied, thereby managing risk and providing clarity about when contractual obligations become enforceable.
