Common use of Conditions Precedent to Closing by Priveco Clause in Contracts

Conditions Precedent to Closing by Priveco. The obligation of Priveco to consummate the Merger is subject to the satisfaction or written waiver of the conditions set forth below by a date mutually agreed upon by the parties hereto in writing. The Closing of the Merger will be deemed to mean a waiver of all conditions to Closing. These conditions precedent are for the benefit of Priveco and may be waived by Priveco in its discretion.

Conditions Precedent to Closing by Priveco. The obligation of Priveco to consummate the Merger Transactions is subject to the satisfaction or written waiver of the conditions set forth below by a date mutually agreed upon by the parties hereto Pubco, Merger Sub and Priveco in writingwriting and in accordance with Section 9.6. The Closing of the Merger Transactions will be deemed to mean a waiver of all conditions to Closing. These conditions precedent are for the benefit of Priveco and may be waived by Priveco in its sole discretion.
