The Consensus; Escalation clause establishes a structured process for resolving disagreements between parties by first requiring them to attempt to reach a mutual agreement through discussion. If consensus cannot be achieved within a specified timeframe, the clause typically mandates that the dispute be escalated to higher-level representatives or a designated committee for further resolution. This approach ensures that conflicts are addressed efficiently and systematically, minimizing disruption and reducing the likelihood of unresolved disputes derailing the overall agreement.
Consensus; Escalation. All decisions within the decision-making authority of the JDC shall be made by [***], [***]. If the JDC is unable to reach agreement as to a particular matter within its jurisdiction, within [***] after such matter has been brought to the JDC for resolution, then such disagreement shall be referred to the Executive Officers of the Parties for resolution.
