Consent to Election. If the Member’s Vested Account exceeds $5,000 ($3,500 for Plan Years beginning before August 6, 1997), any benefit which is immediately distributable requires the consent of the Member. Such consent shall also be required if the Member’s Vested Account at the time of any prior distribution exceeded $5,000 ($3,500 for Plan Years beginning before August 6, 1997). However, for distributions made after March 21, 1999 and before October 17, 2000, such consent shall only be required if the Member’s Vested Account exceeds $5,000 or the Member had previously had an Annuity Starting Date with respect to any portion of such Vested Account. For distributions made on or after October 17, 2000, such consent shall only be required if the Member’s Vested Account exceeds $5,000. In addition, upon termination of this Plan, if the Plan does not offer an annuity option (purchased from a commercial provider), and if we (or any entity within the same Controlled Group) do not maintain another defined contribution plan (other than an employee stock ownership plan as defined in Code Section 4975(e)(7)), the Member’s Account balance will, without the Member’s consent, be distributed to the Member. However, if any entity within the same Controlled Group maintains another defined contribution plan (other than an employee stock ownership plan as defined in Code Section 4975(e)(7)) then the Member’s Account will be transferred, without the Member’s consent, to the other plan if the Member does not consent to an immediate distribution. A benefit is immediately distributable if any part of the benefit could be distributed to the Member before the Member attains the older of Normal Retirement Age or age 62. Spousal consent is needed to name a Beneficiary other than the Member’s spouse. Consent to Election. Subject to section 119 of the Act, the election or appointment of a director is not effective unless the person elected or appointed consents in writing before or within 10 days after the election or appointment.

Neither the consent of the Member nor the Member's spouse shall be required to the extent that a distribution is required to satisfy Code Section 401(a)(9) or 415.
