Consulting Duties. The Consultant shall furnish consulting and advisory services concerning installation and travel schedules and such matters related to the business of the Company as may from time-to-time be requested by the Company, including, without limitation, administration, marketing, sales and new product and service development.
Consulting Duties. You agree to make yourself available during the Consulting Period, upon the Company's reasonable request, to provide consulting services in any area of your experience or expertise, for a minimum of ten (10) hours per month ("Consulting Duties"). Consultant shall give the Company and its affiliates the benefit of Consultant's expertise in related businesses and Consultant's familiarity with marketing of such products as well as Consultant's good relationships with potential customers. In this connection, the Company acknowledges the Consultant has operated and managed the Business as an owner for many years and Consultant will not be required to adhere to rigid personal schedules but will be afforded appropriate latitude in performing Consultant's consulting services. Consultant shall report to the senior management of the Company and RCI and shall perform Consultant's consulting duties consistent with the best interest of the Company, to the best of Consultant's ability, in a diligent manner and consistent with the policies and guidelines of the Company as in effect at any time and from time to time. Consulting Duties. (a) During the term, Consultant shall provide Curis or to Curis’ designee, in accordance with the specifications outlined in the attached Project Exhibit A, and any other Project Exhibits which may be attached hereto from time to time, as agreed to in writing by both parties, such consulting services at such times and places as Curis may from time to time request. Curis shall give Consultant reasonable advance notice of any service required.
(b) All work to be performed by Consultant for Curis shall be under the general supervision of Curis’ Chief Executive Officer or his designee.
(c) Consultant shall devote his best efforts and ability to the performance of the duties attaching to this obligation, devoting an amount of time as mutually agreed. All work performed by Consultant for Curis shall be at times reasonably convenient to him/her. Consultant agrees to furnish Curis with written reports with respect to such consulting services if and when requested by Curis.
Consulting Duties. For of period of five (5) years from the Effective Time, the Consultant agrees as follows:
(a) In consideration for the compensation provided for in Section 3 hereof, the Consultant shall provide all reasonable and necessary assistance and cooperation to the Company's legal counsel and other retained professionals (the "SERVICES") with respect to the ▇▇▇▇▇▇ Action, and the Mercator Action (the "PROCEEDINGS"). The Consultant shall provide the services described herein in a good faith and professional manner consistent with the role of an executive officer which the Consultant held while an employee of the Company.
(b) In consideration for the compensation provided for in Section 3 hereof, the Consultant shall provide consultation and advisory services (the "CONSULTING SERVICES") to the Company, which shall consist of his personal advice and counsel to the Company regarding (a) the transition of Accessity to new management and to a new ownership structure following the Effective Time, (b) related post-closing long-range planning, strategic direction and integration and rationalization processes, (c) by using his experience and background, assisting in the transition of the new management following the Effective Time by assisting with review and advice regarding press releases, discussions with the new senior management regarding Nasdaq listing matters, advice for structuring financings and fund raising issues, broker communications and investor relations matters, transition and information related to the Company's 401(k) pension plan and related procedures, issues and problems which have occurred, information regarding the transferred account balances and details related thereto, information and advice related to SEC disclosure requirements, Accessity's prior SEC filings as required under the Exchange Act and advice regarding cash management and investments including the strategies regarding the current invested funds; and other matters related to the Company's business, the Consultant shall provide Consulting Services as may be reasonably requeste...
Consulting Duties. (a) The Scientific Advisor agrees to serve under the terms of this Agreement as a scientific advisor to Curis as a member of its Scientific Advisory Board (“SAB”). The Scientific Advisor will also perform consulting and advisory services in the Field (as defined in Exhibit A) as may be requested from time to time by Curis. In addition, the Scientific Advisor agrees to serve as the Chairman of the Clinical Advisory Board (“CAB”). The SAB, Chairman of the CAB and other consulting services contemplated by this Section are intended to be included whenever this Agreement refers to “consulting” or “consulting services” or the Scientific Advisor’s role as a “Scientific Advisor.”
(b) All work to be performed by Scientific Advisor for Curis shall be under the general supervision of Curis’ Chairman of the Scientific Advisory Board, ▇▇. ▇▇▇▇▇▇ ▇▇▇▇▇ and ▇▇▇▇▇’ Chief Executive Officer or Chief Scientific/Medical Officer.
(c) The Scientific Advisor will, at Curis’ request, devote up to ten (10) full days or full day equivalents (a “full day equivalent” shall mean eight business hours) in each Contract Year during the term of this Agreement to attend meetings of the SAB and perform such other consulting and advisory services in the Field as may be requested from time to time by Curis in accordance with Section 2(a) above. In addition, the Scientific Advisor will, devote up to an additional ten (10) full days or full day equivalents in each Contract Year during the term of this Agreement to serve as Chairman of the CAB and attend meetings of the CAB. The Scientific Advisor shall be engaged by Curis as a Scientific Advisor for the exchange of ideas only and shall not direct or conduct research for or on behalf of Curis. Such services shall be performed at Curis’ principal place of business or such other place as may be agreed upon by Curis and the Scientific Advisor. The Scientific Advisor shall, subject to Section 3(b) below, disclose to Curis any developments that come to his attention that relate to the Field and are likely to be of interest to Curis, but only to the extent that each such development (i) does not arise, wholly or in part, from any research undertaken by the Scientific Advisor as an employee of the Institute, (ii) is not proprietary to the Institute, and (iii) is not otherwise the subject of any obligation of confidentiality owed by the Scientific Advisor.”

(b) During the Consulting Term, the Consultant will make himself reasonably available to answer questions and provide advice to the Company.
(c) During the Consulting Term, the Consultant will engage in such travel on behalf of the Company as may be reasonably requested, subject to reasonable notice and the Consultant's reasonable availability.
Consulting Duties. During the Consulting Period, the Executive agrees to be available to provide such consulting services as reasonably requested from to time by the Company. The Executive will use his good faith efforts to perform such services to the best of his abilities.
