Consulting Fees. The Company shall pay to the Consultant a consulting fee of $25,000 per quarter ($100,000 per year), payable on the last day of each quarter. Payment for any partial month shall be prorated.

3.2. Consultant shall be responsible for all expenses incurred in association with performance of the Services, unless pre-approved by the Company in writing in advance.
