Consulting Support. BioAtla will make appropriate personnel (directly, or through an Affiliate) available to Context upon reasonable prior notice for the purpose of assisting Context to understand and use the BioAtla Intellectual Property for the Program Products, provided that BioAtla’s obligation to provide consulting support in accordance with this Section shall be limited to: (i) the provision of assistance during the first [***] days following the Effective Date, up to a maximum of [***] hours of assistance, all of which shall be at BioAtla’s cost, and (ii) following the expiration of such period and accumulation of such hours, BioAtla shall provide additional assistance at a mutually agreed upon hourly FTE rate (not to exceed what is customary in the industry for similar services) at Context’s cost. BioAtla shall provide to Context copies of all pre-clinical data and results from any and all completed pre-clinical activity for the Program Products or Licensed Antibodies, in electronic form or other mutually agreeable alternate form within [***] days following the Effective Date.
Consulting Support. Amgen shall provide, at its expense, Consulting Support with respect to the matters described in Section 2.4.1 in connection with the Exploitation of the Licensed Compound until the earlier of (a) Amgen has provided [*] total of Consulting Support or (b) the [*] anniversary of the Effective Date (or [*] if the transfer in Section 2.4.1 has not been completed at the [*] anniversary). If BioAge requires additional Consulting Support in excess of [*] in the aggregate and/or beyond such period set forth in the preceding clause (b) in connection with the Exploitation of the Products in the Territory, then [*], which shall be at BioAge’s expense, at the FTE Rate.
Consulting Support. AMGEN shall provide, [***], Consulting Support with respect to the matters described in 2.5.1 in connection with [***] until the earlier of (a) AMGEN has provided [***] total of Consulting Support or (b) the [***] ([***])-month anniversary of the Effective Date. Without limiting the generality of the foregoing, Consulting Support will include [***]. If ▇▇▇▇▇ requires additional Consulting Support in excess of [***], then ▇▇▇▇▇ may request such additional Consulting Support in writing. AMGEN shall notify ▇▇▇▇▇ within [***] ([***]) days after receipt of such request whether it, in its sole discretion, is willing to provide such additional Consulting Support, which shall be at ▇▇▇▇▇’▇ expense, at the FTE Rate for the relevant AMGEN employees.
Consulting Support. In support of the Phase Development Services, Summus agrees to provide ADLabs with technical consulting support equal to at least two (2) full time equivalent persons, including a project/product manager and developer, for the term of this Agreement. Such consulting support will be provided to ADLabs at the prevailing rates that Summus charges for such services under U.S. Government contracts. In addition to such consulting fee, ADLabs shall reimburse Summus for any out-of-pocket expenses related to such consulting support (including, without limitation, travel and lodging). To the extent ADLabs requires additional consulting support beyond the two full time equivalent persons, such additional support may be provided by Summus at its customary hourly rate.
Consulting Support. Executive agrees that during the three (3) months following the Separation Date, he will provide up to forty (40) hours per month of consulting support to the Company’s Chief Executive Officer with respect to transition of responsibility and all matters arising during or related to Executive’s continuing or past employment, including but not limited to all formal or informal matters in connection with any government investigation, internal investigation, litigation, regulatory or other proceeding which may have arisen or which may arise. Executive shall provide such consulting support at reasonable times and places, when, if and as requested by the Chief Executive Officer. The Company’s request for consulting support shall take into consideration Executive’s personal and business commitments. The Company will pay Executive a mutually agreed upon amount per month for such consulting services and will reimburse Executive for all reasonable out-of-pocket expenses (not including lost time or opportunity or attorneys’ fees) incurred by Executive fulfilling his obligations under this Section 11.
Consulting Support. For the Term (defined below) of this Agreement, the Company agrees to make available to the Consultant (i) his current office space and use of facilities at the Company's Tampa headquarters and (ii) one employee of the Company dedicated to provide the Consultant dedicated secretarial support. The employee provided to Consultant for dedicated secretarial support shall be S▇▇▇▇▇ ▇▇▇▇▇▇. Consultant acknowledges that M▇. ▇▇▇▇▇▇ is an at-will employee. The Company acknowledges that as of the date hereof it has no current intent to terminate M▇. ▇▇▇▇▇▇'▇ employment and will not do so except in the instance of a good faith reduction in force or for cause. Consultant further acknowledges that if M▇. ▇▇▇▇▇▇ quits her employment with the Company, the Company is not obligated to provide other secretarial support to Consultant.
Consulting Support. Standard: At the request of the COR, the Contractor inspector shall provide consultation to the NRC in support of inspections.
Consulting Support. NYW will provide San Benito County Workforce Development Board with consulting services to include: i. Meeting with staff virtually to discuss services and strategies. ii. Virtual training to front line staff responsible for hosting orientation sessions, delivering services, managing customers, tracking data, etc. iii. Strategize with staff from workforce partners & business services. Services may include: assessing potential applicants, aligning training strategies, accessing Portal talent bank for qualified candidates, and employee training services. ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ In addition, NYW will conduct periodic reviews with San Benito County Workforce Development Board to address usage, goals, and critiques.

  • Consulting Services Except as ADB may otherwise agree, and except as set forth in the paragraph below, the Borrower shall apply quality- and cost-based selection for selecting and engaging Consulting Services.

  • Consulting Period The consulting relationship will commence on the Separation Date and will continue until May 1, 2024, which will become your consulting termination date (the “Consulting Termination Date”), unless terminated earlier pursuant to Paragraph 5(h) below (the “Consulting Period”). If the consulting engagement terminates earlier or later than May 1, 2024, the actual date of termination shall become the “Consulting Termination Date” for purposes of this Agreement.

  • Consulting Firm If at the end of such periods contemplated by subsection 3 above, the parties do not mutually agree on a Corrective Action Plan, then either party may refer the Corrective Action Plan to a mutually agreed, nationally (U.S.) recognized consulting firm with applicable expertise in such matters (the “Consulting Firm”) and each party shall execute any reasonable engagement letter requested by such Consulting Firm. If the Purchasers and the Sellers fail to agree on the choice of a Consulting Firm within three (3) Business Days of either party electing to refer the Corrective Action Firm to a Consulting Firm, then the Sellers and Purchasers shall each select one nationally (U.S.) recognized consulting firm with applicable expertise in such matters and those two consulting firms will select a third nationally (U.S.) recognized consulting firm to be the Consulting Firm. The fees and expenses of any Consulting Firms selected pursuant to this Section II.A.4 shall be borne equally by the Sellers, on the one hand, and the Purchasers, on the other hand,.

  • Consulting Arrangement The Company hereby engages Consultant as an independent contractor and not as an employee, to render consulting services to the Company as hereinafter provided and Consultant hereby accepts such engagement for a period commencing on July 18, 2001 and ending on the July 17, 2002. Consultant agrees that Consultant will not have any authority to bind or act on behalf of the Company. Consultant shall at all times be an independent contractor hereunder, rather than an agent, coventurer, employee or representative of the Company. The Company hereby acknowledges and agrees that Consultant may engage directly or indirectly in other businesses and ventures and shall not be required to perform any services under this Agreement when, or for such periods in which, the rendering of such services shall unduly interfere with such other businesses and ventures, providing that such undertakings do not completely preempt Consultant's availability during the term of this Agreement. Neither Consultant nor his employees will be considered by reason of the provisions of this Agreement or otherwise as being an employee of the Company or as being entitled to participate in any health insurance, medical, pension, bonus or similar employee benefit plans sponsored by the Company for its employees. Consultant shall report all earnings under this Agreement in the manner appropriate to its status as an independent contractor and shall file all necessary reports and pay all taxes with respect to such payments.

  • Consulting Fees The Company shall pay Consultant consulting fees at an annual rate of $250,000 through June 30, 1999 and $350,000 thereafter. The Company may, but shall not be obligated to, increase the consulting fees from time to time. The consulting fees shall be payable in installments in the same manner and at the same times the Company pays salaries to executive officers of the Company, but in no event less frequently than equal monthly installments.
