Common use of Continuation of Salary Clause in Contracts

Continuation of Salary. If Executive's employment with the Company is terminated by Executive for Good Reason, by the Company under Section 6(d) or by the Company upon the expiration of this Agreement following a Non-Renewal Notice by the Company, in each case in connection with, or within one year after the effective date of, a Change of Control, then in lieu of the severance payments provided for in the third sentence of Section 6(d) or the third sentence of Section 6(e), as applicable, the Company shall pay Executive a lump sum cash payment in an amount equal to Executive's Base Salary. Such amounts shall be paid to Executive within 10 days after the termination date.

Continuation of Salary. If Executive's employment with the Company is terminated by Executive for Good Reason, by the Company under Section 6(d) Reason or by the Company upon the expiration of this Agreement following a Non-Renewal Notice by the Companyother than for death, in each case Disability or Cause in connection with, or within one year after the effective date of, a Change of Control, then in lieu of the severance payments provided for in the third sentence of Section 6(d) or the third sentence of Section 6(e), as applicable, the Company shall pay Executive a lump sum cash payment in an amount equal to Executive's Base SalarySalary as in effect immediately prior to the termination date. Such amounts amount shall be paid to Executive within 10 days after the termination date.
