Common use of Continuing Efforts Clause in Contracts

Continuing Efforts. Each party shall use commercially reasonable efforts to (a) take all action reasonably necessary to consummate the transactions contemplated by this Agreement and (b) take such steps and do such acts as may be necessary to keep all of its representations and warranties true and correct as of the Closing Date with the same effect as if they had been made on the Closing Date.
