The Continuing Efforts clause requires parties to maintain a certain level of diligence or activity after the main obligations of an agreement have been fulfilled. In practice, this might mean that a party must keep working towards a goal, such as seeking regulatory approval or completing post-closing tasks, even after the primary transaction is complete. This clause ensures that important follow-up actions are not neglected, thereby reducing the risk of unfinished business or unmet conditions that could impact the overall success of the agreement.

Continuing Efforts. Subject to the terms and conditions herein provided, Contributing Member covenants and agrees to use its best efforts to take, or cause to be taken, all actions and do, or cause to be done, all things necessary, proper and/or appropriate to consummate and make effective the transactions contemplated by this Agreement.
