Continuity of Ownership Clause Samples

Continuity of Ownership. The Managing Member will treat ownership of the Class B Membership Interests as being continuous from the Closing Date to the relevant testing date as of which the calculation is being made without regard to any change in ownership of the Class B Membership Interests during such period.

Continuity of Ownership. The Administrator shall treat ownership of the Membership Interests as being continuous from the Effective Date to the distribution date as of which the calculation is being made without regard to any change in ownership of any Membership Interests during such period, except as required under this Agreement.

Moreover, Acquired Fund Shares and Acquiring Fund Shares held by Acquired Fund Shareholders and otherwise sold, redeemed or disposed of prior or subsequent to the Reorganization will be considered in making this representation, except for Acquired Fund Shares or Acquiring Fund Shares which have been, or will be, redeemed by the Acquired Fund or the Acquiring Fund in the ordinary course of its business as a series of an open-end, management investment company under the Investment Company Act.

Continuity of Ownership. Cause or permit, either directly or indirectly, any Change in Control of Borrower or a change in ownership of the Real Property.

Continuity of Ownership. The Parties will treat ownership of BDT&MSD Shares as being continuous from the Effective Date to the date as of which the calculation is being made, without regard to any change in ownership of BDT&MSD Shares between BDT&MSD or its Affiliates during such period (but only to the extent that such Shares are then-owned by BDT&MSD or its Affiliates at the applicable time).

Continuity of Ownership. The Parties will treat ownership of ISQ Shares as being continuous from the HTEC Closing Date to the date as of which the calculation is being made, without regard to any change in ownership of ISQ Shares between ISQ or its Affiliates during such period (but only to the extent that such Shares are then-owned by ISQ or its Affiliates at the applicable time).
