Continuity of Service Mandatory Clause Samples
The Continuity of Service Mandatory clause requires that a service provider must maintain uninterrupted delivery of services throughout the contract period. In practice, this means the provider must have plans and resources in place to prevent or quickly resolve disruptions, such as backup systems or contingency staffing. This clause ensures that the client’s operations are not adversely affected by service interruptions, thereby minimizing risk and maintaining business stability.
Continuity of Service Mandatory. (A) It shall be the right of all Subscribers to continue to receive Cable Service from Grantee insofar as their financial and other obligations to Grantee are honored and they are in compliance with Grantee’s terms of services, residential service agreement or other such provisions. The Grantee shall act so as to ensure that all Subscribers receive continuous, uninterrupted Cable Service regardless of the circumstances. For the purposes of this subsection, "uninterrupted" does not include short-term outages of the Cable System for maintenance or testing.
(B) In the event of a change of grantee, or in the event a new Cable Operator acquires the Cable System in accordance with this Franchise, Grantee shall cooperate with the Town, new franchisee or Cable Operator in maintaining continuity of Cable Service to all Subscribers. During any transition period, Grantee shall be entitled to the revenues for any period during which it operates the Cable System, and shall be entitled to reasonable costs for its services when it no longer operates the Cable System.
(C) In the event Grantee fails to operate the Cable System for four (4) consecutive days without prior approval of the Manager, or without just cause, the Town may, at its option, operate the Cable System itself or designate another Cable Operator until such time as Grantee restores service under conditions acceptable to the Town or a permanent Cable Operator is selected. If the Town is required to fulfill this obligation for Grantee, Grantee shall reimburse the Town for all reasonable costs or damages that are the result of Grantee's failure to perform.
Continuity of Service Mandatory. It will be the right of all Subscribers to receive all available services insofar as their financial and other obligations to the Grantee are honored. In the event that the Grantee elects to rebuild, modify, or sell the Cable System the Grantee will make its best effort to ensure that all Subscribers receive continuous uninterrupted service.
Continuity of Service Mandatory. (1) It shall be the right of all subscribers to continue receiving service insofar as their financial and other obligations to the Grantee are honored. If the Grantee elects to over build, rebuild, modify or sell the system, or the Village gives notice of intent to terminate or fails to renew this franchise, the Grantee shall act so as to ensure that all subscribers receive continuous, uninterrupted service regardless of the circumstances.
(2) If there is a change of franchise, or if a new operator acquires the system, the Grantee shall cooperate with the Village, new franchisee or operator in maintaining continuity of service to all subscribers. During such period, the Grantee shall be entitled to the revenues for any period during which it operates the system, and shall he entitled to reasonable costs for its services until it no longer operates the system.
(3) If the Grantee fails to operate the system for seven (7) consecutive days without prior approval of the Village or without just cause, the Village may, at its option, operate the system or designate an operator until such time as the Grantee restores service under conditions acceptable to the Village or a permanent operator is selected. If the Village is required to fulfill this obligation for the Grantee, the Grantee shall reimburse the Village for all reasonable costs or damages in excess of revenues from the system received by the Village that are the result of the Grantee's failure to perform.
Continuity of Service Mandatory. If the License terminates, Licensee will cooperate with the City to ensure continuity of Cable Service to all Subscribers for a period not to exceed ninety (90) days. That period may be extended by mutual agreement between the City and Licensee. During that period, Licensee will be entitled to the revenues for operation the Cable System and will pay the applicable License Fee, and otherwise comply with the terms of this License as if it had not terminated.
Continuity of Service Mandatory. (a) It shall be the right of all subscribers to continue receiving service as long as their financial and other obligations to the Grantee are honored. If the Grantee elects to over build, rebuild, modify or sell the system, or the Village gives notice of intent to terminate or fails to renew the franchise, the Grantee shall act so as to ensure that all subscribers receive continuous, uninterrupted service regardless of the circumstances for a period not to exceed six months after the franchise has terminated.
(b) If there is a change of franchise, or if a new operator acquires the system, the Grantee shall cooperate with the Village, new franchisee and operator in maintaining continuity of service to all subscribers. During such period, the Grantee shall be entitled to the revenues for any period during which it operates the system.
(c) If the Grantee fails to operate the system for three consecutive days without prior approval of the Village or without just cause, the Village may, at its option, operate the system or designate an operator until such time as the Grantee restores service under conditions acceptable to the Village or a permanent operator is selected. If the Village is required to fulfill this obligation for the Grantee, the Village shall be entitled to all revenues for any period during which it operates the system and shall be entitled to draw on the letter of credit and cash security deposit established pursuant to Section 14 of this chapter to recover all of its costs and damages in excess of such revenues, and, in any event, the Grantee shall be obligated to reimburse the Village for all costs or damages incurred by the Village resulting from the Grantee's failure to perform that the Village does not recover from such revenues or said letter of credit or cash security deposit.

In the event that Grantee elects to overbuild, rebuild, modify or sell the system, or the City gives notice of intent to terminate or fails to renew this Franchise, Grantee shall act so as to ensure that all subscribers receive continuous, uninterrupted service. If Grantee fails to provide such service, the City retains the right to provide the service.
(2) In the event of a change of Franchisee, or in the event a new operator acquires the system, the Grantee shall cooperate with the City, and the new Franchisee, or operator, in maintaining continuity of service to all subscribers during a reasonably timed transition period agreed to between the parties. During such period, Grantee shall be entitled to the revenues for any period during which it operates the system.
B. In the event Grantee ceases transmission of the system's cable services, for twenty-four (24) hours without prior approval of the City, the City may, at its option, seek judicial relief to operate the system, or to designate an operator until such time as a permanent operator is selected. If the City is required to fulfill this obligation for Grantee, the City shall be entitled to revenue derived from the system's operation, and Grantee shall reimburse the City for all reasonable costs or damages in excess of revenues from the system received by the City during its period of operation that are the result of Grantee's failure to perform. Notwithstanding the foregoing, cessation of transmission of the system's cable services due to circumstances beyond the control of the Grantee shall not entitle City to seek judicial relief to operate the system or designate another operator to do so.

Continuity of Service Mandatory. 5.9.1 It shall be the right of all Subscribers to continue receiving service insofar as their financial and other obligations to the Grantee are honored. In the event that the Grantee elects to overbuild, rebuild, modify, or sell the System, or the County gives notice of intent to terminate or fails to renew this Franchise, the Grantee shall act so as to insure that all Subscribers receive continuous, uninterrupted service regardless of the circumstances. The Grantee shall ensure that all Subscribers receive continuous uninterrupted service. At the County’s request, the Grantee shall operate its System for a temporary period (the “transition period”), following the revocation or termination of its Franchise or any transfer as necessary to maintain service to Subscribers, and shall cooperate with the County to assure an orderly transition from the Grantee to another grantee. The transition period shall be no longer than the reasonable period required to select another grantee and to build a replacement System, if necessary, and shall not be longer than thirty six (36) months, unless extended by the County for good cause. During the transition period, the Grantee shall continue to be obligated to comply with the terms and conditions of the OVS Ordinance, this Franchise Agreement, and all Applicable Law.
5.9.2 In the event Grantee fails to operate the System for four (4) consecutive days without prior approval of the County or without just cause, the County may, at its option, operate the System or designate an operator until such time as Grantee restores service under conditions acceptable to the County or a permanent operator is selected. If the County operates the System in accordance with this section, the Grantee shall reimburse the County for all costs, expenditures and damages incurred by the County in excess of the revenues derived from the operation of the System.

In the event that the Grantee elects to overbuild, rebuild, modify, or sell the system, or the City gives notice of intent to terminate or fails to renew this Franchise, Grantee shall act so as to insure that all Subscribers receive continuous, uninterrupted service regardless of the circumstances.
14.2 In the event Grantee fails to operate the system for four (4) consecutive days without prior approval of the City or without just cause, the City may, at its option, operate the system or designate an operator until such time as Grantee restores service under conditions acceptable to the City and the City or a permanent operator is selected. If the City operates the Cable System in accordance with this section, Grantee shall reimburse the City for all costs, expenditures and damages incurred by the City in excess of the revenues derived from the operation of the Cable System.
Continuity of Service Mandatory. It shall be the right of all subscribers to receive all available services insofar as their financial and other obligations to Franchisee are honored. In the event that Franchisee elects to upgrade, rebuild, modify or sell the Cable Television System, or the Board terminates or otherwise declines to renew the Franchise, Franchisee shall do everything in its power to ensure that all subscribers receive continuous, uninterrupted services regardless of the circumstances. In the event of a change of Franchisee, the same shall apply.
