Common use of Contribution and Waiver Clause in Contracts

Contribution and Waiver. From and after the Closing, no Seller shall seek, or have any right to seek, indemnification or contribution from any Buyer Indemnitee with respect to any Proceeding brought by any Buyer Indemnitee (whether such Proceeding is pursuant to this Agreement for any amount for which the Sellers are otherwise expressly responsible pursuant to this Agreement, applicable Law or otherwise).

Contribution and Waiver. From and after the Closing, no Seller Sellers shall not seek, or have any right to seek, indemnification indemnification, subrogation or contribution from any Buyer Parent Indemnitee with respect to any Proceeding action, suit, proceeding, complaint, claim or demand brought by any Buyer Parent Indemnitee (whether such Proceeding is pursuant to this Agreement for any amount for which the Sellers are Seller is otherwise expressly responsible pursuant to this Agreement, applicable Law Agreement or otherwise)any payment for indemnifiable Losses by any Seller hereunder.
