Common use of Contribution and Waiver Clause in Contracts

Contribution and Waiver. From and after the Closing, no Shareholder shall seek indemnification or contribution from the Companies (including by reason of the fact that he or it was a director, manager, officer, employee or agent of any such entity or was serving at the request of any such entity as a partner, trustee, director, manager, officer, employee or agent of another entity) for any breaches or in respect of any other payments required to be made by any Shareholder pursuant to this Agreement or the Ancillary Agreements.

Contribution and Waiver. From and after the Closing, no Shareholder shall seek indemnification or contribution from the Companies Company or its Subsidiaries (including by reason of the fact that he or it was a director, manager, officer, employee or agent of any such entity or was serving at the request of any such entity as a partner, trustee, director, manager, officer, employee or agent of another entity) for any breaches of this Agreement or any Ancillary Agreement or in respect of any other payments required to be made by any Shareholder pursuant to this Agreement or the Ancillary Agreements.
