Contribution of the Initial Member Clause Samples

The 'Contribution of the Initial Member' clause defines the obligation of the founding or initial member of an entity to provide certain assets, funds, or resources to the organization upon its formation. Typically, this clause specifies the type and value of the contribution, such as cash, property, or intellectual property, and may outline the timing and method of transfer. Its core practical function is to ensure that the entity is properly capitalized from the outset, establishing a clear record of what the initial member has provided and helping to prevent disputes over ownership or funding responsibilities.
Contribution of the Initial Member. In connection with the Fund’s formation, the Fund will issue and sell 40 Units to the Investment Manager (the “Initial Member”) for an aggregate purchase price of $1,000. These Units will be issued and sold in reliance upon the available exemptions from the registration requirements of Section 4(a)(2) of the Securities Act. The Fund expects to cancel the Initial Member’s Units prior to the first date on which investors other than the Initial Member make their initial Capital Contributions to purchase Units.
