Cooperating Brokers. The Buyer agrees that it has not engaged the services of any Broker with respect to this transaction unless such Broker has been properly registered. Buyer agrees that in the event that the Cooperating Broker Registration Form was not completed and signed by the parties 24 hours prior to the submitting of the Bidder Registration Form, then Buyer shall be solely responsible for the payment of any costs related to any claims by a Broker to compensation associated with this transaction, including reasonable attorney’s fees and costs incurred by Auctioneer or Seller defending any such claim.

Cooperating Brokers. Red Fox Realty is authorized and empowered to engage any other realtor, broker or agent under or in connection with this Agreement without the prior specific approval of Owner, and Red Fox Realty agrees to cooperate with other realtors, brokers, or agents in endeavoring to obtain offers for the lease of the Property. Notwithstanding the involvement of a realtor, broker or agent cooperating with or claiming under Red Fox Realty (a “Cooperating Broker”), the amount of the Commission provided to be paid hereunder by Owner shall constitute the entire amount which, in the absence of an express written agreement of Owner to the contrary, Owner shall be obligated to pay to Red Fox Realty and Owner shall have no obligation or liability for the payment of any commission or fee to any Cooperating Broker, any such commission or fee being the sole obligation and liability of Red Fox Realty. Owner shall not enter into any agreement for the payment of a commission to a Cooperating Broker (for which Red Fox Realty would be responsible) without the prior written consent of Red Fox Realty.

Cooperating Brokers. Manager agrees to actively solicit the cooperation of other real estate brokers in finding tenants for space in the Property. In the event a cooperating broker is involved in securing a tenant, the Owner shall pay a total Commission equal to one hundred fifty percent (150%) of the Commission provided for in the provisions of CLAUSES (a) and (c) of this SECTION 4.6. Manager shall be responsible for negotiating an acceptable sharing of the total Commission with the cooperating broker. In no event shall Manager receive more than 100% of the Commission provided for in the provisions of CLAUSES (a) through (c) of this SECTION 4.6.

Cooperating Brokers. Owner acknowledges that ▇▇▇▇▇▇ is entitled and encouraged to solicit the cooperation of other real estate brokers. However, ▇▇▇▇▇▇ may not enter into any commission arrangements with other brokers that would be inconsistent with the terms of this Agreement or which would increase the total amount of Owner’s liability hereunder, and Owner’s sole liability for commissions shall be as provided in this Agreement. Broker has no responsibility to pay a fee or commission to a cooperating broker, unless and until Owner has paid the fee or Commission to Broker.
