Corporate Operations. During the term of this Agreement, the Energy Trust will: (i) obtain and thereafter preserve its status as a tax-exempt nonprofit corporation, duly organized and validly existing under the laws of the state of Oregon, (ii) maintain the requisite corporate power and authority to carry on its business; and (iii) comply with its articles of incorporation, bylaws, policies, and all applicable laws, regulations, and rules.
