Costs of Public Offering. Each Managementholder who participates in a public offering of Common Stock of the Corporation pursuant to any provision of this Article 3 shall bear a portion of all costs incurred in connection with such offering including, without limitation, the fees of investment bankers, lawyers and accountants in the same proportion as the number of shares of Common Stock sold by such Managementholder is of all the Common Stock sold pursuant to such public offering unless such costs are to be borne by the Corporation. Each Managementholder shall, in any event, pay the underwriting discounts or commissions applicable to the sale of his Common Stock in such public offering and, where required, execute the applicable underwriting agreement and all related documents.

  • Terms of Public Offering The Sellers are advised by you that the Underwriters propose (i) to make a public offering of their respective portions of the Shares as soon after the execution and delivery of this Agreement as in your judgment is advisable and (ii) initially to offer the Shares upon the terms set forth in the Prospectus.

The Plan, the Agreement (including this Addendum) and any other documents evidencing the grant of the Restricted Stock Units have not, nor will they be registered with the Comisión Nacional del ▇▇▇▇▇▇▇ de Valores (the Spanish securities regulator) and none of those documents constitute a public offering prospectus.
