The Course of Performance clause defines how the repeated conduct of parties during the execution of a contract can be used to interpret the contract’s terms. In practice, if both parties consistently act in a certain way regarding a contract provision, that behavior can clarify ambiguous terms or fill in gaps in the written agreement. This clause helps ensure that the actual, ongoing actions of the parties are considered in resolving disputes, promoting fairness and reflecting the true intent of the contractual relationship.

Course of Performance. No course of dealing or performance by the parties, or any of them, shall be admissible for the purpose of obtaining an interpretation or construction of this Agreement at variance with the express language of the Agreement itself.
Course of Performance.
