Common use of CPM Schedule Clause in Contracts

CPM Schedule. Contractor shall produce a CPM Schedule in accordance with Section 5.4 of the Agreement that will be the reference schedule for the duration of the Project unless revised by Change Order approved by the Owner. The CPM Schedule shall be the Project baseline plan comprising a control network detailing all activities to be completed in a logical sequence and being in sufficient detail to identify key activities and restraints, interdependencies, interrelationships and resources required to control the Project. The CPM Schedule shall: a. Be consistent with the Project Schedule, including LNTP, NTP, the Guaranteed Substantial Completion Date for each Subproject; b. Represent Contractor’s best judgment as to how it shall complete the Work in compliance with the Project Schedule; c. Be a detailed graphic representation of all significant aspects of the Work showing Contractor’s plans for performance of the Work; d. Comply with GECP; e. Indicate a level of detail sufficient for Contractor to plan, organize, direct, coordinate, perform and execute the Work, and for Owner to monitor the progress of the Work; f. Include separate activities for each significant portion of the Work including activities for mobilization, engineering, procurement, construction, commissioning, start up, testing, closeout and demobilization; g. Show the duration, start dates, and finish dates for each activity; h. Show activity number, activity description, and responsible Person (i.e., Contractor, Subcontractor, or Sub-subcontractor) for each activity; i. Reflect logical relationships between activities with a reasonable duration for each activity, and show an uninterrupted critical path from the LNTP through NTP, First LNG Cargo, Substantial Completion of each Subproject and Final Completion of each Subproject; j. Indicate all Milestones to be used for progress payments. The initial CPM Schedule shall reflect the dates on the original Milestones progress payment schedule. Thereafter, at least once each quarter Milestones shall be re-scheduled in the CPM Schedule, if necessary, to reflect the current Schedule progress and updated projected Milestone dates. New Change Order Milestones, if any, shall be incorporated into the CPM Schedule at the quarterly CPM Schedule update; and k. Be segregated into two or more schedule sub-networks defining: (1) Work within the Liquefaction Site and (2) Work within Existing Facilities as generally defined in Attachment X. The Existing Facilities sub-network schedule will be used by Contractor and Owner to plan and confirm schedule dates with plant operations to minimize disruptions to Contractor’s Work in the Existing Facility, subject to Section 3.25 of the Agreement.

CPM Schedule. No later than sixty (60) Days after the Effective Date, Contractor shall produce prepare and submit to Owner for Owner’s review and approval, not to be unreasonably withheld: (i) a detailed level 3 resource/man-hour loaded critical path method schedule for the Work using the latest version of Primavera Project Planner (“Primavera Project Planner”) and meeting all requirements of this Section 5.4A (such schedule, once approved by Owner, is hereinafter referred to as the “CPM Schedule”) and (ii) a detailed resource plan generated by the CPM Schedule and developed in accordance with Section 5.4 Attachment B and Attachment X. Comply with GECP; e. Indicate a level of detail sufficient for Contractor to plan, organize, direct, coordinate, perform and execute the Work, and for Owner to monitor the progress of the Work; f. Include separate all activities for each significant portion of the Work Train 3 Liquefaction Facility (including activities for mobilization, engineering, procurement, prefabrication or pre-assembly prior to erection, delivery of equipment, construction, required Owner or government agency inspections, procurement of Contractor permits, construction, pre-commissioning, start upCommissioning, testingtesting and startup) and shall comply with GECP. Indicate all Milestones activity, and (iv) be man-hour loaded to reflect the projected manpower to be used per activity (whether provided by Contractor or any Subcontractor or Sub-subcontractor), showing the number of personnel, and a general description of the Work being performed. Contractor shall submit with the CPM Schedule the following: (a) progress “S” curve, showing the baseline plan, actual and forecast progress by Month for total progress paymentsof the Work, which shall be based on the CPM Schedule; (b) engineering discipline and overall engineering and construction area and overall manpower histograms showing forecast manpower required by Month, for scheduled completion of the Work; (c) Drawing log showing the Drawing number, title, planned, actual and forecast released for construction dates by discipline and reporting period; and (d) cost reporting as set forth in Attachment X. Contractor shall use the CPM Schedule in planning, organizing, directing, coordinating, performing and executing the Work, and the CPM Schedule shall be the basis for evaluating progress of the Work. The initial CPM Schedule shall reflect the dates on the original Milestones progress payment schedule. Extensions to the Time for Completion or the Contract Completion Date, when granted by Change Order, will be used by Contractor and Owner to plan and confirm schedule dates with plant operations to minimize disruptions to Contractor’s Work granted only when equitable time adjustment exceeds the Total Float in the Existing Facilityactivity or path of activities affected by the change, subject provided that the Owner has reasonably provided information necessary to Section 3.25 allow for the orderly progression of the AgreementWork. The CPM schedule shall also show what part of the Contract Price (expressed in U.S. dollars) is attributable to each activity on the schedule and shall be in agreement with the schedule of values, the sum of which for all activities shall equal the total Contract Price The CPM schedule shall have no line-item activities longer than thirty (30) days in duration, and activities shall be included to provide sufficient detail for effectively managing the sequence of the Work. When acceptable to the Owner and Architect/Engineer as to compliance with the requirements of this Section, the schedule shall become the CPM schedule for the Project. Acceptance of the schedule by the Owner does not indicate agreement with nor responsibility for the proposed or actual duration of any activity or logic shown on the accepted schedule.

CPM Schedule. A. CPM Schedule. No later than [***] ([***]) Days after NTP, Contractor shall produce prepare and submit to Owner for Owner’s review and approval, not to be unreasonably withheld: (i) a detailed level 3 resource/man-hour loaded critical path method schedule for the Work using the latest version of Primavera Project Planner (“Primavera Project Planner”) and meeting all requirements of this Section 5.4A (such schedule, once approved by Owner, is hereinafter referred to as the “CPM Schedule”) and (ii) a detailed resource plan generated by the CPM Schedule and developed in accordance with Section 5.4 Attachment B and Attachment X. Such submission to Owner of the Agreement that will CPM Schedule shall be the reference schedule for the duration of the Project unless revised by Change Order approved by the Ownerin hard copy and native electronic format. The CPM Schedule shall be the Project baseline plan comprising a control network detailing all activities to be completed in a logical sequence and being in sufficient detail to identify key activities and restraints, interdependencies, interrelationships and resources required to control the Project. The CPM Schedule shall: a. Be consistent with RGLNG T5 – ▇▇▇▇▇▇▇ – Train 5 EPC Agreement 53 Exhibit 10.2 the Project Schedule, including LNTP, NTP, the Guaranteed Substantial Completion Date for each Subproject; b. Represent Key Dates and shall represent Contractor’s best judgment as to how it shall complete the Work in compliance with the Project Schedule; c. Be Guaranteed Dates. The CPM Schedule shall, at a minimum, be detailed graphic representation at a level 3 (with each activity containing Work for on discipline or craft having a maximum duration of all significant aspects twenty (20) Days, except in limited circumstances when, due to the nature of the Work showing Contractor’s plans activity, a longer duration is necessary (as agreed by the Parties)) for performance of the Work; d. Comply with GECP; e. Indicate a level of detail sufficient for Contractor to plan, organize, direct, coordinate, perform and execute the Work, and for Owner to monitor the progress of the Work; f. Include separate all activities for each significant portion of the Work Train 5 Facility (including activities for mobilization, engineering, procurement, prefabrication or pre-assembly prior to erection, delivery of equipment, construction, required Owner or government agency inspections, procurement of Contractor permits, construction, pre-commissioning, start upCommissioning, testingtesting and startup) and shall comply with GECP. Without limitation of the foregoing, closeout and demobilization; g. Show the CPM Schedule shall: (i) show the duration, early/late start dates, and early/late finish dates and available total float value for each activity; h. Show , show a unique activity number, activity description, actual start/finish dates, remaining duration, physical percent complete and responsible Person (i.e., Contractor, Subcontractor, or Sub-subcontractor) for each activity; i. Reflect reflect logical relationships between activities with a reasonable duration for each activityactivities, and show an uninterrupted critical path from NTP through each of the LNTP through NTP, First LNG Cargo, Key Dates including Substantial Completion of each Subproject and Final Completion of Completion; (ii) be tagged by activity codes to allow sorting and filtering by responsible Contractor, Subcontractor, Sub-subcontractor, Owner activities, discipline, craft, major work area, engineering, procurement, construction and commissioning (iii) the Work Breakdown Structure identifier shall be included for each Subproject; j. Indicate all Milestones activity, and (iv) be man-hour loaded to reflect the projected manpower to be used per activity (whether provided by Contractor or any Subcontractor or Sub- subcontractor), showing the number of personnel, and a general description of the Work being performed. Contractor shall submit with the CPM Schedule the following: (a) progress “S” curve, showing the baseline plan, actual and forecast progress by Month for total progress paymentsof the Work, which shall be based on the CPM Schedule; (b) engineering discipline and overall engineering and construction area and overall manpower histograms showing forecast manpower required by Month, for scheduled completion of the Work; (c) Drawing log showing the Drawing number, title, planned, actual and forecast released for construction dates by discipline and reporting period; and (d) cost reporting as set forth in Attachment X. Contractor shall use the CPM Schedule in planning, organizing, directing, coordinating, performing and executing the Work, and the CPM Schedule shall be the basis for evaluating progress of the Work. The initial CPM Schedule shall reflect the dates on critical path to Substantial Completion. B. Owner Review of the original Milestones progress payment scheduleCPM Schedule. ThereafterOwner may review the CPM Schedule for general conformance with this Agreement, at least once each quarter Milestones and issue written comments and proposed changes of such CPM Schedule. If Owner reasonably determines that the CPM Schedule does not conform to this Agreement Contractor shall promptly revise and resubmit the CPM Schedule to Owner. Once the CPM Schedule and the required submittals have been approved by Owner, this version of the CPM Schedule shall be re-scheduled in the baseline CPM Schedule for the Work. Owner’s review or acceptance of the CPM Schedule shall not relieve Contractor of any obligations for the performance of the Work, change any Key Date, nor shall it be construed to establish the reasonableness of the CPM Schedule. C. Monthly Updates to CPM Schedule. After acceptance by Owner of the CPM Schedule, if necessary, to reflect the current Schedule progress Contractor shall manage and updated projected Milestone dates.
