Creation of a Valid Security Interest Clause Samples

The 'Creation of a Valid Security Interest' clause establishes the legal framework by which a lender or secured party obtains a recognized claim over specific assets of a borrower as collateral for a debt or obligation. This clause typically outlines the requirements for the security interest to be enforceable, such as proper documentation, identification of the collateral, and compliance with relevant laws or registration procedures. Its core function is to ensure that the secured party has a legally valid and enforceable right to the collateral, thereby reducing credit risk and providing assurance that the lender can recover value if the borrower defaults.
Creation of a Valid Security Interest. The Issuer covenants and agrees that the Indenture creates a valid and continuing security interest (as defined in the applicable UCC) in the Contracts and the other Collateral in favor of the Indenture Trustee, which security interest is prior to all other Liens (other than Permitted Liens) and is enforceable as such against creditors of and purchasers from the Issuer.
