Current Proceedings. The Company is not involved, whether as plaintiff or defendant, or otherwise engaged in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as plaintiff in the collection of debts arising in the Ordinary Course of Business).

Current Proceedings. 10.1.1 The Transferor and the Company are not involved whether as claimant or defendant in any existing or potential or threatened claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of the business (none of which exceeds US$50,000)) which, if adversely determined, would reasonably be expected to have a material adverse effect on the ability of the Transferor to perform its obligations under this Agreement or to result in any liability of the Company. 10.1.2 To the Transferor’s knowledge, there are no existing or potential or threatened regulatory actions against or by the Transferor or the Company.

Current Proceedings. Except as set out in the Data Room, no Group Company nor either Seller is involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of its business none of which exceeds $20,000) which would have a material adverse effect on the business of the Group.

Current Proceedings. No Group Company (in relation to acts or defaults for which a Group Company may be liable) is involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation or arbitration (other than as claimant in the collection of debts arising in the ordinary course of its business or in relation to insurance claims in the ordinary and usual course of business) which individually or collectively is material to the business of the Group. For the purposes of this paragraph 10.1, “

Current Proceedings. No member of the Group, nor any other member of the Retained Group in relation to the business carried on by the Group or any of the Group’s assets, is involved whether as claimant or defendant or other party in any dispute, claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry or arbitration (other than as claimant in the collection of debts arising in the ordinary course of its business) which claim exceeds US$250,000.

Current Proceedings. The Seller is not (nor is any person for whose acts or defaults the Seller may be vicariously liable) involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of its business).

Current Proceedings. None of the Elephant Entities is involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of its business) which has a dispute value in excess of €1,000,000.

Current Proceedings. No Purchaser's Group Company is involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of its business) which is material to the business of the Purchaser's Group as a whole.

Current Proceedings. No Group Company and no Business Transferor (or any person for whose acts or defaults a Business Transferor may be vicariously liable) in relation to the Business is involved whether as claimant or defendant or other party in any claim, legal action, proceeding, suit, litigation, prosecution, investigation, arbitration or other dispute resolution process, or administrative or criminal proceedings, or regulatory agency action, or subject to any judgment, decree, injunction, order or decision relating to any of the foregoing which in any of the foregoing cases is material to the business of the Group (other than as claimant in the collection of debts arising in the ordinary course of its business).
