Common use of Customer Specific Deliverables Clause in Contracts

Customer Specific Deliverables. Upon and subject to payment in full of all amounts owing to Vision33 under the applicable Statement of Work, Customer will own all rights, title and interest in any deliverables specifically identified in the Statement of Work as owned by Customer (“Customer Specific Deliverables”), including all Intellectual Property Rights therein but excluding any pre-existing Vision33 Materials incorporated into the Customer Specific Deliverables or on which the Customer Specific Deliverables are based. Vision33 hereby assigns to Customer all rights, title and interest in and to the Customer Specific Deliverables, including all Intellectual Property Rights therein. At Customer’s request and expense, Vision33 will reasonably assist and cooperate with Customer and take such further acts reasonably requested by Customer to enable Customer to acquire and perfect its ownership rights in the Customer Specific Deliverables. To the extent pre-existing Vision33 Materials are incorporated into the Customer Specific Deliverables, Vision33 grants Customer a perpetual, non-exclusive, non-transferable and royalty-free license to use such Vision33 Materials solely as incorporated into the Customer Specific Deliverables and solely for Customer’s internal use.
