The Data and Material clause defines the rights and responsibilities of parties regarding the use, sharing, and ownership of data and materials exchanged or generated under an agreement. Data and Material. The Material and Data are and remain the property of FHCRC. Research inventions. FHCRC makes no claim to rights in any intellectual property Recipient develops through use of the Material, and/or Data that are developed without conceptual contribution from FHCRC. Recipient is free to file patent application(s) claiming inventions made by the Recipient through the use of the Material and/or Data, but agrees to notify FHCRC upon filing a patent application claiming Modifications or methods of use of the Material. No rights are provided by either Party to the other under any patent applications, trade secrets or other proprietary rights of a Party.
Data and Material. Seller agrees not to use or disclose any data, designs or other information furnished by or belonging to ▇▇▇▇▇, except in performance of this order. Data and Material. 9.1 The Service Provider shall assist the Customer in transporting, loading and running the Customer Data and the Customer Material. 9.2 The Service Provider and the Customer shall each comply with its obligations to return Software, data and Material under clauses 18.6 and 27.3 of the MSA and without prejudice to such obligations the Parties shall ensure that the Exit Plan sets out procedures to ensure an efficient transfer back to each Party of its proprietary materials, Confidential Information and data as part of the Termination Assistance process.
Data and Material. The User agrees that the Material and Data shall be used in accordance with the rules and regulations described in Annex II. Data and Material. ZYON TECHNOLOGY shall provide to Verve a list of the URL's with the most visits by Subscribers occurred during each calendar month during the Term. Such list shall be provided in CD-ROM format within seven (10) days after the end of the applicable month. Additionally, ZYON TECHNOLOGY shall provide to Verve the Subscriber tracking data (which shall not include Subscriber usernames, email addresses or any personally identifiable information) collected by ZYON TECHNOLOGY for the twenty-four (24) hour periods as follows: the first period to be on or about seven days after the Effective Date, and subsequent periods on or about the seventh day of each month during the Term. Such data shall be unformatted and provided electronically or on other media to be mutually agreed upon by the parties. All information provided under this Section shall be considered ZYON TECHNOLOGY Confidential Information, provided, that Verve shall have the right to use such data for Verve's internal business purposes.

Data and Material. (a) The Supplier will assist UBS in transporting, loading and running UBS Data and UBS Material as part of the transition of the Services to UBS, a UBS Affiliate or a Successor Supplier, to the extent relevant to the Services previously provided by the Supplier.   • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • Time and Materials If this contract is designated as a Time and Materials contract, invoicing and payment shall be as follows: (a) Consultant shall submit invoices, not more often than once a month during the term of this agreement, based on the cost for work performed in accordance with the Rate Schedule in the Scope of Work and authorized reimbursable expenses incurred prior to the invoice date. Invoices shall contain the following information: (i) Serial identifications of bills, i.e., ▇▇▇▇ No. 1; (ii) The beginning and ending dates of the billing period; (iii) A summary containing the total contract amount, the amount of prior ▇▇▇▇▇▇▇▇, the total due this period, percentage of work completed, the remaining balance available for all remaining billing periods, and a brief description of work completed during the billing period. (b) City shall make monthly payments, based on such invoices, for satisfactory progress in completion of the Scope of Work, and for authorized reimbursable expenses incurred.
