Data Extracts Clause Samples

Data Extracts. Administrator will, upon written request of Customer during the Termination Assistance Period, provide Customer with an extract of all data relating to the Contracts, including, Contract Accounting Books and Records, which are then retained by Administrator in non-proprietary form and format as may be requested by Customer. If Customer requests such data in a format or file structure not then maintained by Administrator, Customer shall be obligated to pay Administrator the time required to convert such data into the requested format, at Administrator’s then current time and materials rates.
Data Extracts. Seller shall provide to Purchaser extracts of data pertaining to Purchaser’s product from the applicable systems as defined by Table 1: Systems Access and Support. Seller IT staff will copy specified data files and transfer such data files to a portion of the Seller network dedicated to Purchaser. In addition, Business employees will be able to save additional files to the portion of the Seller network dedicated to Purchaser.
Data Extracts. Vendor will, upon written request of Customer during the Termination Assistance Period, provide Customer with an extract of all data relating to the Contracts, including, Contract Accounting Books and Records, which are then retained by Vendor in non-proprietary form and format as may be requested by Customer.
Data Extracts. The term "Data Extracts" shall mean any compilation or collection of Company's Confidential Information, in any form, that is derived or procured from Company sources, including but not limited to sales and goals extracts, marketing data, log files from a Company system, sample data related to the provision of Services identified in an Order, Company employee or contract worker data, or patient data and information. Notwithstanding anything herein to the contrary, Counterparty shall access and maintain Data Extracts through and within a Company-Approved Environment only on Company-managed systems. Without limiting Counterparty's obligations under this Agreement (including without limitation Counterparty's obligations with respect to Personal Information, if applicable, and Company's Confidential Information), Counterparty shall, throughout the period that Counterparty stores or accesses Data Extracts, only implement those processes regarding access, storage and destruction of such Data Extracts that are documented and have been agreed to by Company's and Counterparty's respective data privacy and security teams.
Data Extracts. The Department will provide additional details and on report format, fields and frequency.

It shall not respond to that request itself unless it has been authorised to do so by the data exporter. (b) The data importer shall assist the data exporter in fulfilling its obligations to respond to data subjects’ requests for the exercise of their rights under Regulation (EU) 2016/679. In this regard, the Parties shall set out in Annex II the appropriate technical and organisational measures, taking into account the nature of the processing, by which the assistance shall be provided, as well as the scope and the extent of the assistance required. (c) In fulfilling its obligations under paragraphs (a) and (b), the data importer shall comply with the instructions from the data exporter.

  • Certain Additional Actions Regarding Intellectual Property If any Event of Default shall have occurred and be continuing, upon the written demand of the Collateral Agent, each Pledgor shall execute and deliver to the Collateral Agent an assignment or assignments of the registered Patents, Trademarks and/or Copyrights and Goodwill and such other documents as are necessary or appropriate to carry out the intent and purposes hereof. Within five (5) Business Days of written notice thereafter from the Collateral Agent, each Pledgor shall make available to the Collateral Agent, to the extent within such Pledgor’s power and authority, such personnel in such Pledgor’s employ on the date of the Event of Default as the Collateral Agent may reasonably designate to permit such Pledgor to continue, directly or indirectly, to produce, advertise and sell the products and services sold by such Pledgor under the registered Patents, Trademarks and/or Copyrights, and such persons shall be available to perform their prior functions on the Collateral Agent’s behalf.

  • Data The statistical, industry-related and market-related data included in the Registration Statement and the Prospectus are based on or derived from sources which the Company reasonably and in good faith believes are reliable and accurate, and such data agree with the sources from which they are derived. The Company has obtained the written consent to the use of such data from such sources to the extent necessary.
