Common use of Data Processing Systems Clause in Contracts

Data Processing Systems. The electronic data processing systems and similar systems utilized in processing the work of each of the TPB Companies, including both hardware and software, (a) are supplied by a third-party provider; (b) satisfactorily perform the data processing function for which they are presently being used; and (c) are wholly within the possession and control of one of the TPB Companies or its third-party provider such that physical access to all software, documentation, passwords, access codes, backups, disks and other data storage devices and similar items readily can be made accessible to and delivered into the possession of Parent’s third-party provider.
