Data Room Copy. CBD agrees to deliver to Sendas, within thirty (30) days as from the Effective Distribution Date, a media certified by Intralinks including a copy of the contents of the virtual data room relating to the Business Separation.
Data Room Copy. At least two (2) business days prior to the Closing, Sellers shall deliver to Buyer two (2) flash drives, each containing copies of all of the documents contained in the Data Room.

From the date hereof until such time as the aforementioned respective digital copies of the data room are delivered in accordance with the prior sentence, neither Seller nor any Acquired Company shall, and shall cause their respective Representatives not to, add, remove or redact any documents in the Data Room without the prior written consent of Buyer.
Data Room Copy. An electronic copy of the “Project Meerkat” data room being maintained by Seller in connection with the transactions contemplated hereby, reflecting the contents of such data room as of the Closing Date.

The applicable Party shall transmit such compact discs or USB drives with a letter stating that such Party is providing such compact discs or USB drives in accordance with the obligations set forth in this Section 5.12.
