Date for Payment. Subject to clause 18.4 and the terms of the applicable Order or Statement of Work, if the Purchasing Agency receives a Valid Tax Invoice: (a) on or before the 3rd Business Day of the month, the Purchasing Agency must pay that Valid Tax Invoice by the 20th calendar day of that month; or (b) after the 3rd Business Day of the month, the Purchasing Agency must pay that Valid Tax Invoice on or before the 20th calendar day of the month following the month it is received.

Date for Payment. 7.1 Where a Tax Claim or any sum to which sub-clause 3.2 of this Deed applies involves the Purchaser or the Company being under a liability to make a payment to any Tax Authority, the Covenantor shall pay to the Purchaser in cleared funds the amount claimed on or before the later of the fifth Business Day after demand is made therefor and the fifth Business Day before the date on which the amount in question is finally payable to the relevant Tax Authority without any interest, penalty, fine or surcharge arising in respect thereof. 7.2 Where the Covenantor is liable to make a payment under sub-clause 2.1.2 of this Deed, the Covenantor shall pay to the Purchaser in cleared funds the amount in question on the later of the fifth Business Day after demand is made therefor and the fifth Business Day after the date on which the Tax in question would have been arisen. 7.3 Where the Covenantor is liable to make any payment under any other Tax Claim, the date for the payment of which is not determined under sub-clauses 7.1 or 7.2 above, the Covenantor shall pay to the Purchaser the amount in question on the fifth Business Day after demand is made therefor. 7.4 Any sum not paid by the Covenantor on a date determined under sub-clauses 7.1, 7.2 or 7.3 above (the "due date") shall bear interest (which shall accrue from day to day after as well as before any judgement for the same) at the rate of [4%] per annum over the base rate of Barclays Bank plc or in the absence thereof at such similar rate as the Purchaser shall select from the due date up to and including the day of actual payment of such sum (or the next Business Day if the date of actual payment is not a Business Day) compounded quarterly. Such interest shall be paid on the demand of the Purchaser.
Date for Payment. The Authority shall pay to the Contractor the Termination Sum, together with any interest at the Prescribed Rate on or before the date falling forty (40) Business Days after the Termination Date.
Date for Payment. Where any amount is required to be paid to the Purchaser by the Vendors in respect of an Actual Tax Liability the Vendors shall pay such amount in cleared funds three Business Days before the date on which the Tax in question is due for payment to the relevant Tax Authority or if later ten Business Days following the date on which the Purchaser notifies the Vendors of its liability to make such payment.
Date for Payment. 5.1 Subject to paragraphs 5.2 and 5.3, the due date for payment by the Sellers of any sum due under this Schedule shall be: 5.1.1 in the case of any Tax Liability which involves an actual payment of Tax, the later of (i) 3 Business Days before the amount of the Tax Liability is due and payable and (ii) 10 Business Days after a demand in writing is served on the Sellers by the Buyer; and 5.1.2 in the case of any Tax Liability which does not involve an actual payment of Tax, on the date which is 10 Business Days after a demand in writing is served on the Sellers by the Buyer, such demand to be accompanied by a copy of a certificate from the auditors of the relevant Group Company (obtained or procured to be obtained by and at the expense of the Buyer) to the effect that the Sellers have a liability of a stated amount in respect of such Tax Liability. 5.2 If the date on which the Tax can be recovered by the relevant Tax Authority is deferred following application to such Tax Authority, the date for payment by the Sellers shall be 3 Business Days before the later of (i) (a) such later date when the amount of Tax is finally and conclusively determined, or a decision of a court or tribunal is given or any binding agreement or determination is made from which either no appeal lies or in respect of which no appeal is made within the prescribed time limit and (b) if earlier, the date on which such Tax is lawfully recoverable by the relevant Tax Authority, and (ii) 10 Business Days after a demand in writing is served on the Sellers by the Buyer. 5.3 If a payment or payments to the relevant Tax Authority prior to the date otherwise specified by this paragraph would avoid or minimise interest or penalties, the Sellers may at their option pay the whole or part of the amount due to the Buyer on an earlier date or dates, and, in such event, the Buyer shall procure that the Tax in question (or the appropriate part of it) is promptly paid to the relevant Tax Authority.
Date for Payment. The amount payable by Enbridge pursuant to Section 3(a) shall be paid upon the occurrence of the latest of: (1) subject to Section 6 and the next sentence, 15 Business Days after the receipt by Enbridge of a notice from Management accompanied by its computations in accordance with Section 6; (2) if any such indemnity payment relates to an Indemnifiable Event that is contested pursuant to Section 5, 15 Business Days after the date of a Final Determination with respect to such Indemnifiable Event; and (3) in the case of, and to the extent such amount payable by Enbridge pursuant to Section 3(a) relates to, the redemption or other disposition of the MLP I-Units, and subject to Section 6 and the next sentence, 15 Business Days after the redemption or other disposition of the MLP I-Units. The date required for payment pursuant to the preceding sentence shall be delayed until 15 Business Days after delivery to Enbridge of any verification requested pursuant to Section 6.
Date for Payment. 5.1 Where a Tax Claim or any sum to which paragraph 2.2 of Part 3 of this Schedule applies involves the Buyer or the Company being under a liability to make a payment to any Tax Authority, the Warrantors shall pay to the Buyer in cleared funds the relevant amount on or before the later of the fifth Business Day after demand is made for the amount in question and the fifth Business Day before the date on which the amount in question is finally payable to the relevant Tax Authority without any interest, penalty, fine or surcharge arising in respect of it. 5.2 Where a Tax Claim does not fall within paragraph 5.1, the due date for the making of payments by the Warrantors under this Schedule shall be: 5.2.1 in the case of a Tax Claim involving the loss of an Accounts Relief which is not a right to a repayment of Tax, the later of ten Business Days following service by the Buyer of a written demand for the same and the date on which the Accounts Relief would otherwise have been used but for such loss; 5.2.2 in the case of a Tax Claim involving the loss of an Accounts Relief which is a right to repayment of Tax, the later of ten Business Days after the Buyer has served a written demand for the same and the date on which repayment of Tax would have actually been received; and 5.2.3 in the case of a Tax Claim involving the set-off of a Post Completion Relief or an Accounts Relief, the later of ten Business Days following the service by the Buyer of a written demand for the same or the date on which the Actual Tax Liability would have fallen due but for such setting off. 5.3 Any sum not paid on a date determined under this Schedule (“the due date”) shall bear interest (which shall accrue from day to day after, as well as before, any judgment for the same) at the rate of 1% per annum over the base rate of Barclays Bank PLC from the due date up to and including the day of actual payment of such sum (or the next Business Day if the date of actual payment is not a Business Day) which shall be compounded quarterly. Such interest shall be paid on demand.
Date for Payment. 4.1 Each Seller shall pay to the Purchaser amounts due, paid or assessed under this Schedule in cleared, immediately available funds: (a) in the case of amounts due, paid or assessed in relation to an Actual Tax Liability, within five (5) Business Days following the date on which the Purchaser gives written notice to the Sellers of the amount so payable, paid or assessed or, if later, two (2) Business Days before the date on which the relevant Tax is payable; (b) in the case of amounts due, paid or assessed in relation to a Deemed Tax Liability, within five (5) Business Days following the date on which the Purchaser gives written notice to the Sellers of the amount so payable, paid or assessed or, if later, two (2) Business Days before the date on which the Tax would have been due for payment; and (c) in all other cases in relation to an Actual Tax Liability, Deemed Tax Liability or otherwise, within five (5) Business Days following the date on which the Purchaser gives written notice to the Sellers of the amount payable, paid or assessed.
Date for Payment. Any invoice under this Agreement must be paid on or before the Due Date. Except as otherwise provided in this Agreement, Due Date means the later of: (a) the 20th day of the month in which the invoice is issued or the next Business Day if the 20th day of the month is not a Business Day; or (b) five Business Days from the date the invoice is received by the Customer (including the day of receipt as the first Business Day if the invoice is received prior to 10.00 am on a Business Day).
