DEBTORS. 12.1 The debtors are hereby sold subject to the resolutive condition that if the Purchaser will have failed to recover the aggregate amount thereof by then those debtors not recovered timeously will be excluded from the sale and the purchase consideration will be reduced by an amount equal to the amount by which the face value of the debtors not recovered exceeds the provision for bad debts stipulated in clause 4 above. The last of the cheques in the series referred to in clause 4 above shall be appropriately reduced in order to take into account any reduction in the purchase consideration.
12.2 All amounts paid by debtors shall be appropriated to the oldest portion of the debt owing by such debtor unless such debtor otherwise expressly appropriates or disputes the relevant claim.
