Declaration of Authority Clause Samples
A Declaration of Authority clause establishes that the individuals signing the agreement have the legal power to bind the parties they represent. In practice, this clause requires each signatory to confirm they possess the necessary authorization, such as being an officer or agent with delegated authority, to enter into the contract on behalf of their organization. This provision helps prevent disputes over the validity of the agreement by ensuring that all parties are properly represented and that the contract is enforceable.
Declaration of Authority. As designated or otherwise required by AEP Ohio, AEP Ohio and each SSO Supplier shall execute a Declaration of Authority, a representative form of which is attached hereto as Attachment G.
