Declaratory Ruling Sample Clauses

Declaratory Ruling. The Parties further acknowledge and agree that by executing this Agreement, neither Party waives any of its rights, remedies, or arguments with respect to such decision and any remand thereof, including its right to seek legal review or a stay pending appeal of such decision.
Declaratory Ruling. SBC TEXAS agrees to use its best efforts to obtain co-extensive rights for CLEC, under commercially reasonable terms, for Intellectual Property rights to each unbundled network element necessary for CLEC to use such unbundled network element in the same manner as SBC TEXAS.
Declaratory Ruling and any state public utilities or public service commission, and (ii) using commercially reasonable efforts to obtain all approvals, consents, permits, licenses and other authorizations of, and making all filings with, and giving all notices to, third parties, which in any such case may be necessary or reasonably required of the Company in order to consummate the transactions contemplated hereby.

  • Third Party Litigation The undersigned agrees to be available to the Company and its affiliates on a reasonable basis in connection with any pending or threatened claims, charges or litigation in which the Company or any of its affiliates is now or may become involved, or any other claims or demands made against or upon the Company or any of its affiliates, regardless of whether or not the undersigned is a named defendant in any particular case.
