Defective contractual products, corrections, preventive measures. ▇▇. ▇▇▇▇▇▇▇▇▇ will notify the SUPPLIER of defective contractual products by means of an inspection report and/or e-mail. The SUPPLIER will receive the rejected products with a notice of defects provided for analysis, unless otherwise agreed. In case there is a danger of the SUPPLIERs defective products leading to a production standstill at ▇▇. ▇▇▇▇▇▇▇▇▇▇ or its customers’ facilities, the SUPPLIER must ensure the speediest remedy possible by taking suitable immediate corrective action in agreement with ▇▇. ▇▇▇▇▇▇▇▇▇ (replacement delivery, screening and reworking, special shifts, express transport/special journeys/special flights, etc.). In case of a defective delivery, ▇▇. ▇▇▇▇▇▇▇▇▇ is entitled to withhold payment in proportion to the value until proper fulfillment. If the goods have already been processed and delivered to ▇▇. ▇▇▇▇▇▇▇▇▇▇ customer and if the customer has not presented the defective goods to ▇▇. ▇▇▇▇▇▇▇▇▇ for inspection, the SUPPLIER agrees to accept the notification of defect issued by the customer or another third party (e.g. dealer) without submission of the defective parts. (a) Otherwise the legal regulations are valid. If the parts have already been delivered to ▇▇. ▇▇▇▇▇▇▇▇▇ or it’s customer for processing, the period of supplementary performance is superfluous. (b) The SUPPLIER shall reimburse ▇▇. ▇▇▇▇▇▇▇▇▇ for all costs associated with the repair and the replacement of defective parts (including costs for transport, examination, handling, sorting, mantling/dismantling, material, and work).
