Common use of Delegation; Assignment Clause in Contracts

Delegation; Assignment. PFPC Trust may assign its rights and delegate its duties hereunder to any affiliate (as defined in the ▇▇▇▇ ▇▇▇) of PFPC Trust, or PNC Bank Corp., provided that (i) PFPC Trust gives the Fund thirty (30) days' prior written notice; (ii) the delegate (or assignee) agrees with PFPC Trust and the Fund to comply with all relevant provisions of the Securities Laws; and (iii) PFPC Trust and such delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation (or assignment), including (without limitation) the capabilities of the delegate (or assignee).

Delegation; Assignment. PFPC Trust may assign its rights and delegate its duties hereunder at no additional cost to any affiliate (as defined in the ▇▇▇▇ ▇▇▇) of PFPC TrustTrust or of The PNC Financial Services Group, or PNC Bank Corp.Inc., provided that (i) PFPC Trust gives the Fund thirty sixty (3060) days' prior written noticenotice of such assignment or delegation; (ii) the assignee or delegate (or assignee) agrees with PFPC Trust and the Fund to comply with all the relevant provisions of the Securities Laws; and (iii) PFPC Trust and such assignee or delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation assignment or delegation, (or assignment)including, including (without limitation) or the capabilities of the delegate (assignee or assignee)delegate. Except as stated above, this Agreement may not be assigned or delegated by either party without the written consent of the other party.

Subject to the provision of Section 14(c) hereof, PFPC Trust may assign its rights and delegate its duties hereunder to any affiliate (as defined in the ▇▇▇▇ ▇▇▇) majority-owned direct or indirect subsidiary of PFPC TrustTrust or The PNC Financial Services Group, or PNC Bank Corp.Inc., provided that (i) PFPC Trust gives the Fund thirty (30) days' prior written notice; (ii) the delegate (or assignee) agrees with PFPC Trust and the Fund to comply with all relevant provisions of the Securities Laws1940 Act; and (iii) PFPC Trust and such delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation (or assignment), including (without limitation) the capabilities of the delegate (or assignee).

PFPC Trust may assign its rights and delegate its duties hereunder to any affiliate (as defined in the ▇▇1940 Act) of or any majority-owned direct or indirect subsidiary ▇▇ ▇▇▇) of PFPC Trust▇ Trust or The PNC Financial Services Group, or PNC Bank Corp., Inc. provided that (i) PFPC Trust gives the Fund thirty sixty (3060) days' prior written notice; (ii) the delegate (or assignee) agrees with PFPC Trust and the Fund to comply with all relevant provisions of the Securities Laws; and (iii) PFPC Trust and such delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation (or assignment), including (without limitation) the capabilities of the delegate (or assignee).

Delegation; Assignment. PFPC Trust may assign its rights and delegate its duties hereunder to any affiliate (as defined in the 1940 Act) of PFPC Tru▇▇, ▇▇ ▇▇▇) of PFPC Trust, or PNC NC Bank Corp., provided that (i) PFPC Trust gives the Fund thirty (30) days' prior written notice; (ii) the delegate (or assignee) agrees with PFPC Trust and the Fund to comply with all relevant provisions of the Securities Laws; and (iii) PFPC Trust and such delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation (or assignment), including (without limitation) the capabilities of the delegate (or assignee).

Delegation; Assignment. Except as provided below, this Agreement may not be assigned by either party without the written consent of the other party. PFPC Trust may assign assign, at its rights and delegate its duties hereunder own expense, this Agreement to any affiliate (as defined in the ▇▇▇▇ ▇▇▇) of PFPC TrustTrust or of The PNC Financial Services Group, or PNC Bank Corp.Inc., provided that (i) PFPC Trust gives the Fund thirty sixty (3060) days' prior written notice; notice of such assignment, (ii) the delegate (or assignee) assignee agrees with PFPC Trust and the Fund to comply with all the relevant provisions of the Securities Laws; 1940 Act, and (iii) PFPC Trust and such delegate (or assignee) assignee promptly provide such information as the Fund may reasonably request, and respond to such questions as the Fund may reasonably ask, relative to the delegation assignment (or assignment)including, including (without limitation) , the capabilities of the delegate (or assignee).
