Common use of Department of Commerce Clause in Contracts

Department of Commerce. Buyer warrants that it will comply in all respects with the export and re-export restrictions placed on Seller products, technology and software by the United States Government; and to specifically not export or re-export such products, technology and software into any country embargoed or sanctioned by the United States; to anyone on the U.S. Treasury Department’s List of Specially Designated Nationals or the U.S. Department of Commerce Denied Parties List or Entity List or any other restricted party list established by the United States Government. Buyer agrees that it will not use Seller products, technology and software for any purposes prohibited by United State law, including, without limitation, the development, design, production, manufacture or use of nuclear, chemical or biological weapons or missile activities. Buyer will take all actions which may be reasonably necessary to assure no such contravention of such United States laws and Regulations.
